Artist Commission Contract
This Artist Commission Contract ("Contract") is entered into on [Date], by and between [Client Name], with its principal place of business at [Client Address] ("Client"), and [Your Name], with its principal place of business at [Your Address] ("Artist") (collectively referred to as the "Parties").
1. COMMISSION WORK
The Artist agrees to undertake the creation of a visual artwork ("Artwork") as per the specifications provided by the Client. The particulars of the commission, including but not limited to dimensions, medium, subject matter, and completion date, shall be mutually agreed upon by the Parties.
2. PAYMENT
The total compensation for the commissioned work, as agreed upon by the Parties, amounts to [Total Cost]. A non-refundable down payment of [Down Payment] is to be remitted upon the execution of this Contract. The remaining balance shall be settled upon the completion of the commission work but prior to the delivery of the Artwork, on [Payment Date].
3. DELIVERY
The Artist undertakes to deliver the Artwork to the Client in conformity with the specifications delineated within this Contract. All costs associated with the delivery and insurance of the Artwork shall be assumed by the Client.
4. COPYRIGHT AND REPRODUCTION
Until such time as full payment is received, the Artist shall retain all copyright and reproduction rights pertaining to the Artwork. Subsequent to receipt of full payment, the Artist shall retain copyright ownership but shall grant the Client an exclusive license to reproduce and exhibit the Artwork for personal use only.
5. LIMITATION OF LIABILITY
The Artist shall not be held liable for any direct, indirect, or consequential loss incurred by the Client arising from the use or inability to utilize the Artwork.
6. FORCE MAJEURE
The Artist shall not be held accountable for any failure to fulfill the obligations under this Contract if said failure is attributable to causes beyond the Artist's reasonable control.
7. GOVERNING LAW
This Contract shall be construed in accordance with and governed by the laws of [Governing State], without regard to its conflict of laws provisions.
8. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the Parties concerning the subject matter herein and supersedes all prior oral or written agreements, understandings, or arrangements.
