This Deed of Acquittance and Discharge ("Deed") is entered into as of [Date], by and between:

  • [Your Name], a legal entity organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Your Company Address], hereinafter referred to as the "Creditor"; and

  • [Debtor's Name], a legal entity organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Debtor's Address], hereinafter referred to as the "Debtor".

I. Recitals

Whereas, the Creditor and the Debtor have entered into a Loan Agreement dated [Date], under which certain obligations were incurred by the Debtor in favor of the Creditor;

Whereas, the Debtor has fulfilled all obligations and liabilities owed to the Creditor under the aforementioned agreement;

Now, therefore, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

II. Acknowledgment of Payment

  1. The Creditor hereby acknowledges that the Debtor has made the full and final $50,000 payment (Fifty Thousand US Dollars), which constitutes complete satisfaction of all obligations, debts, and liabilities owed by the Debtor to the Creditor under the aforementioned agreement.

  2. The Creditor hereby releases and discharges the Debtor from any claims, demands, actions, suits, liabilities, and obligations, whether known or unknown, arising out of or in connection with the aforementioned agreement.

III. Representations and Warranties

  1. The Creditor represents and warrants that it has full power and authority to execute and deliver this Deed and to perform its obligations hereunder.

  2. The Debtor represents and warrants that it has full power and authority to execute and deliver this Deed and to perform its obligations hereunder.

IV. Governing Law

This Deed shall be governed by and construed by the laws of [Jurisdiction], without regard to its conflict of law principles.

V. Entire Agreement

This Deed constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

VI. Counterparts

This Deed may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute the same instrument.
