Restaurant Agency Contract

Parties

This Restaurant Agency Contract ("Contract") is entered into on [Month Day, Year], by and between:

Recitals

WHEREAS, the Restaurant desires to engage the Agency to provide certain services related to marketing, branding, and promotions;

WHEREAS, the Agency possesses the necessary skills, knowledge, and expertise to provide such services to the Restaurant;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

Terms and Conditions

1. Services

The Agency agrees to provide the following services ("Services") to the Restaurant:

• Development and implementation of marketing strategies;

• Branding and rebranding efforts;

• Creation of promotional materials;

• Social media management and content creation;

• Public relations and media outreach;

• Any other related services as agreed upon by the parties in writing.

2. Compensation

For the Services rendered, the Restaurant shall pay the Agency as follows:

a. A retainer fee of [$0], payable on [Month Day, Year];

b. Hourly fees of [$0] for additional services beyond those covered by the retainer;

c. Reimbursement of all pre-approved expenses incurred by the Agency in the course of providing Services.

3. Term and Termination

b. Either party may terminate this Contract upon [0 Days] days written notice to the other party.

b. This obligation shall survive the termination of this Contract.

5. Intellectual Property

a. All intellectual property created by the Agency in the course of providing Services shall be the exclusive property of the Restaurant.

b. The Agency hereby assigns to the Restaurant all rights, title, and interest in and to such intellectual property.

6. Indemnification

The Agency agrees to indemnify, defend, and hold harmless the Restaurant from and against any and all claims, liabilities, damages, and expenses arising out of or in connection with the Services provided under this Contract.

Similarly, the Restaurant agrees to indemnify, defend, and hold harmless the Agency from and against any and all claims, liabilities, damages, and expenses arising out of the Restaurant's actions or omissions.

7. Governing Law

This Contract shall be construed in accordance with, and governed by, the laws of the State of [State].

8. Dispute Resolution

In the event of any dispute arising out of or relating to this Contract, the parties agree to attempt to resolve the dispute in good faith through negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through mediation or arbitration in accordance with the rules of the American Arbitration Association.

9. Entire Agreement

This Contract constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written.

10. Severability

If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. Notices

All notices required or permitted under this Contract shall be in writing and shall be deemed delivered when delivered in person, by certified mail, return receipt requested, or by recognized overnight delivery service to the addresses
