1. Parties

RECITALS

2. Scope of Services

2.1 General Services

Contractor agrees to provide the following architectural services (collectively, the "Services") to the Client:

  • Preliminary design and concept development

  • Schematic design

  • Design development

  • Construction documents preparation

  • Bidding and negotiation assistance

  • Construction administration

  • Project closeout

2.2 Detailed Services

2.2.1 Preliminary Design and Concept Development

Contractor will work with Client to develop preliminary design concepts that reflect Client's vision and requirements. This includes site analysis, feasibility studies, and initial design sketches.

2.2.2 Schematic Design

Contractor will create detailed schematic designs, including floor plans, elevations, and site plans. These designs will be presented to Client for approval before moving forward.

2.2.3 Design Development

Based on the approved schematic designs, Contractor will further develop the design details. This includes material selection, structural systems, and detailed drawings.

2.2.4 Construction Documents Preparation

Contractor will prepare comprehensive construction documents, including specifications, detailed drawings, and schedules. These documents will be used for obtaining permits and for construction.

2.2.5 Bidding and Negotiation Assistance

Contractor will assist Client in soliciting and evaluating bids from contractors. This includes preparing bid documents, reviewing bids, and negotiating contracts.

2.2.6 Construction Administration

Contractor will provide oversight during the construction phase to ensure the project is built according to the approved designs. This includes site visits, progress reports, and addressing any issues that arise.

2.2.7 Project Closeout

Contractor will conduct a final inspection of the project to ensure all work has been completed to Client's satisfaction. This includes preparing a final punch list and ensuring all documentation is complete.

3. Compensation

3.1 Total Compensation

In consideration for the Services, Client agrees to pay Contractor the total sum of $[Amount] to be paid as follows:

6. Client Responsibilities

7. Ownership of Documents

8. Confidentiality

Each party agrees to keep confidential and not disclose to any third party any confidential information of the other party obtained in connection with the performance of this Contract, except as necessary for the performance of the Services or as required by law.

9. Indemnification

Contractor shall indemnify, defend, and hold Client harmless from any and all claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or resulting from Contractor's performance of the Services under this Contract, except to the extent that such claims, damages, liabilities, or expenses are caused by the negligent acts, omissions, or willful misconduct of Client.

10. Insurance

10.1 Insurance Coverage

Contractor shall maintain, at its own expense, comprehensive general liability and professional liability insurance in amounts not less than $[Amount] per occurrence and $[Amount] aggregate, and shall provide evidence of such insurance to Client upon request.

10.2 Workers' Compensation

Contractor shall maintain workers' compensation insurance as required by law and provide proof of such coverage to Client upon request.

11. Dispute Resolution

In the event of any dispute arising under or in connection with this Contract, the parties shall first attempt to resolve the dispute through good faith negotiations.
