1. Introduction
This Corporate Deed of Guarantee is made and entered into on August 30, 2050, by and between [YOUR COMPANY NAME], hereinafter referred to as the "Guarantor," and Bernard Hurst, hereinafter referred to as the "Beneficiary."
2. Recitals
The Guarantor is a corporation duly organized, validly existing, and in good standing under the laws of California, United States.
The Beneficiary has agreed to enter into a Contract with Supreme Enterprises, LLC dated August 25, 2050 (the "Contract").
As a condition to entering into the Contract, the Beneficiary has required a guarantee from the Guarantor for the obligations of the Principal under the Contract.
3. Guarantee
In consideration of the Beneficiary entering into the Contract with the Principal, the Guarantor hereby irrevocably and unconditionally guarantees to the Beneficiary:

The full and punctual payment when due of all obligations, liabilities, and amounts owing by the Principal to the Beneficiary under the Contract.

The due and prompt performance and observance by the Principal of all the terms, conditions, covenants, duties, and undertakings contained in or imposed on the Principal by the Contract.
4. Nature of Guarantee
This guarantee:

Is a continuing and irrevocable guarantee and indemnity for all obligations, liabilities, and amounts owing, and all the terms, conditions, covenants, duties, and undertakings subject to the terms of the Contract.

Shall not be affected or discharged by any variations, additions, or modifications to the terms of the Contract agreed between the Principal and the Beneficiary.
5. Guarantor’s Liability
The liability of the Guarantor under this Deed of Guarantee shall not exceed the aggregate sum of $500,000 plus any interest, costs, and expenses incurred by the Beneficiary in pursuing the rights and remedies under this guarantee.
6. Notices
All notices, requests, demands, and other communications under this Deed of Guarantee shall be in writing and shall be deemed to have been duly given if delivered personally, sent by facsimile or electronic mail with receipt confirmed, or sent by registered mail, postage prepaid, to the parties at the following addresses:

8. Miscellaneous

If any provision of this Deed of Guarantee is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No waiver of any provision of this Deed of Guarantee shall be effective unless in writing and signed by the party waiving the provision, and then only in the specific instance and for the specific purpose for which it was given.
