This Non-Disclosure Agreement ("Agreement") is made and entered into as of October 3, 2050 by and between:

1. Purpose
The parties wish to explore a potential business partnership involving a collaboration or merger (the "Purpose"). In connection with this Purpose, it may be necessary for the Disclosing Party to disclose certain confidential and proprietary information to the Receiving Party.
2. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" shall include all information disclosed, whether in written, electronic, or oral form, including but not limited to business plans, financial information, technical data, product designs, trade secrets, customer lists, and any other information that is marked or identified as confidential.
3. Obligations of the Receiving Party
The Receiving Party agrees to:

a. Maintain the confidentiality of the Confidential Information and not disclose it to any third parties without the prior written consent of the Disclosing Party.

b. Use the Confidential Information solely for the Purpose stated above and not for any other purpose.

c. Protect the Confidential Information with at least the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care.
4. Exclusions from Confidential Information
Confidential Information does not include information that:

a. Is or becomes publicly known through no fault of the Receiving Party.

b. Is disclosed to the Receiving Party by a third party without a breach of any obligation of confidentiality.

c. Is independently developed by the Receiving Party without use of or reference to the Confidential Information.
5. Term
This Agreement shall commence on the date first written above and shall continue in effect for a period of five (5) years, unless terminated earlier by either party with thirty (30) days written notice to the other party. However, the obligations regarding Confidential Information shall survive the termination of this Agreement for an additional five (5) years.
6. Miscellaneous

a. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings.

b. This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE NAME].

c. Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
