This Maintenance Service Agreement (hereafter referred to as "Agreement") is entered into on January 1, 2050, by and between [YOUR COMPANY NAME] ("Service Provider") and ViGlobe ("Client"). The Agreement establishes the terms for maintaining, repairing, and servicing specific assets or facilities owned or managed by the Client. Both parties agree to the terms outlined below.
I. Scope of Services
The Service Provider agrees to perform the following maintenance services for the Client:
Preventive Maintenance: Monthly inspections and servicing of HVAC systems and electrical equipment.
Corrective Maintenance: Repairs and troubleshooting of IT network failures and other critical equipment.
Emergency Maintenance: 24/7 response to unexpected breakdowns of key machinery or systems.
A detailed service schedule will be provided and mutually agreed upon before February 1, 2050.
II. Term and Renewal
This Agreement begins on February 1, 2050, and remains effective until January 31, 2051.
The Agreement automatically renews for successive one-year terms unless terminated with written notice by either party at least 30 days prior to the end date.
III. Fees and Payment Terms

IV. Responsibilities of Each Party

Client:
Grant the Service Provider access to premises during scheduled maintenance times.
Notify the Service Provider of any irregularities or issues promptly.
Make timely payments as outlined in Section III.
V. Liability and Insurance
The Service Provider assumes liability for damages caused by negligence during the service period.
The Client agrees to maintain property insurance for covered assets.
Indemnification: Both parties agree to indemnify each other against claims arising from breach of this Agreement.
VI. Termination
This Agreement may be terminated under the following conditions:
Mutual Consent: Written agreement by both parties.
For Cause: Breach of contract, such as failure to perform or non-payment after 30 days of notice.
Without Cause: Either party may terminate with a 30-day written notice.
All obligations cease after termination except for outstanding payment balances, which remain due.
VII. Confidentiality

VIII. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Denver, CO. Any disputes will be resolved through mediation first, failing which arbitration will be pursued in Denver, CO.
This Agreement represents the entire understanding between the parties and supersedes any prior agreements. Amendments must be in writing and signed by both parties.
