Dear Mr. Jerrell Lowe,
This Agreement Letter ("Agreement") is made and entered into on the date above by and between [YOUR COMPANY NAME], with its principal place of business at 123 Innovation Lane, Techville, CA 90210, and Notable20, with its principal place of business at 456 Enterprise Road, Metro City, NY 10018 (collectively, "the Parties").

PURPOSE

SCOPE OF WORK

TERM AND TERMINATION
This Agreement shall commence on February 10, 2058, and shall continue until February 10, 2059, unless terminated earlier by either Party with 30 days’ written notice.
PAYMENT TERMS
Payment for the services and software shall be as follows:

Total amount: $250,000 (Two Hundred Fifty Thousand Dollars), payable in USD.

Payment schedule:

50% ($125,000) due upon signing of this Agreement.

Remaining 50% ($125,000) due upon delivery of the software on March 15, 2058.

CONFIDENTIALITY
Both Parties agree to maintain the confidentiality of all proprietary information, including but not limited to software designs, operational procedures, and financial data, shared during the course of this Agreement.
DISPUTE RESOLUTION
Any disputes arising from this Agreement shall be resolved through arbitration in St. Louis, Missouri, in accordance with the rules of the American Arbitration Association.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri.
AMENDMENTS
Any amendments or modifications to this Agreement must be made in writing and signed by both Parties to be valid.
