Industrial Maintenance Contract
This Industrial Maintenance Contract (the "Contract") is entered into as of January 1, 2050 (the "Effective Date"), by and between [Your Company Name], a company having its principal place of business at [Your Company Address] ("Service Provider"), and Bridify, a company having its principal place of business at Arlington, TX 76001 ("Client"). Both parties may be referred to herein individually as a "Party" or collectively as the "Parties."
I. Scope of Services
Description of Services
The Service Provider agrees to provide the Client with comprehensive industrial maintenance services (the "Services") as described below. Services include but are not limited to:

Routine equipment inspections and diagnostics.

Repairs and replacements of defective machinery components.

Preventative maintenance activities in accordance with industry standards.

Emergency on-call services as required by the Client.

Detailed reporting on maintenance activities and recommendations for ongoing improvement.
Performance Standards
The Service Provider shall perform the Services with a high degree of professionalism and in accordance with applicable industry standards to ensure the Client’s operational efficiency and safety.
II. Term and Termination
Contract Term
The term of this Contract shall commence on January 1, 2050, and continue for a period of 12 months, unless earlier terminated as provided herein.
Termination
This Contract may be terminated under the following conditions:

By mutual written agreement of the Parties.

By either Party, with 30 days' written notice, in the event of a material breach of this Contract by the other Party, provided the breaching Party has not remedied such breach within 15 days of receiving notice.
III. Compensation
Payment Terms
The Client agrees to pay the Service Provider a total fee of $50,000, to be paid as follows:

25% ($12,500) upon execution of this Contract.

Remaining balance to be paid in monthly installments of $3,125 over the term of the Contract.
Payments shall be made by wire transfer to the bank account details provided by the Service Provider or by another mutually agreed-upon method.
Late Payments
A late fee of 5% may be applied to any payments not received within 10 days of the due date.
IV. Responsibilities
Responsibilities of the Service Provider

Assign qualified and experienced personnel to perform the Services.

Provide all necessary tools, equipment, and materials required for maintenance activities.

Adhere to agreed timelines and communicate any anticipated delays promptly.
Responsibilities of the Client

Provide unrestricted access to the facilities and equipment necessary for the Service Provider to perform the Services.

Notify the Service Provider promptly of any issues or emergencies requiring maintenance services.

Ensure all required permits and authorizations are in place before maintenance activities commence.
V. Confidentiality
Confidential Information
Both Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Contract. Neither Party shall disclose such information to third parties without prior written consent, except as required by law.
Survival
This confidentiality clause shall survive the termination or expiration of this Contract for a period of 5 years.
VI. Liability and Indemnity
Limitation of Liability
The Service Provider shall not be liable for indirect, consequential, or incidental damages arising from the Services.
Indemnification
The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or losses arising out of or in connection with the Client’s failure to fulfill its obligations under this Contract.
VII. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising out of or relating to this Contract shall be resolved exclusively in the courts located in Texas.
