Construction Contract Agreement


I. Introduction

This Construction Contract Agreement (“Agreement”) is entered into on this 15th day of February, 2050, by and between:

  • [Your Company Name], a corporation registered under the laws of the State of Texas, with its principal office located at [Your Company Address], represented by [Your Name] ("Party A").

  • StarTerra, a corporation registered under the laws of the State of Texas, with its principal office located at Houston, TX 77001, represented by Rocky Orn ("Party B").

The parties hereby agree as follows:


II. Scope of Work

1. Project Description

Party A agrees to perform the construction services described herein for Party B as part of the construction project, which includes but is not limited to:

  • Site preparation and excavation

  • Foundation construction

  • Framing and structural work

  • Plumbing and electrical installations

  • Interior finishing and painting

  • Landscaping (if applicable)

Party A shall complete the work as per the specifications detailed in the attached project plans and timelines.

2. Responsibilities of Party A

Party A agrees to:

  • Provide all labor, materials, equipment, and supervision necessary to complete the project as described in the Scope of Work.

  • Ensure that all work complies with the local building codes, safety standards, and all other applicable laws.

  • Perform all work efficiently and in a workmanlike manner.

  • Obtain any necessary permits and licenses for the construction project.

  • Maintain a safe worksite throughout the duration of the project.

3. Responsibilities of Party B

Party B agrees to:

  • Provide access to the site and any necessary utilities for the duration of the project.

  • Ensure that the project site is free of any obstructions that may delay the construction process.

  • Make timely decisions regarding the project and approve any required changes or modifications to the project scope.

  • Pay Party A the agreed-upon compensation in accordance with the payment schedule set forth in this Agreement.


III. Contract Price and Payment Terms

1. Total Contract Price

The total contract price for the completion of the project as described in the Scope of Work is $500,000 (Five Hundred Thousand Dollars). The price includes all labor, materials, equipment, and incidentals necessary to complete the work.

2. Payment Schedule

Party B agrees to pay Party A according to the following payment schedule:

  • Deposit: An upfront deposit of 10% of the total contract price, amounting to $50,000, is due upon signing of this Agreement.

  • Progress Payments: Subsequent payments will be made on the following milestones:

    • 20% upon completion of site preparation and excavation

    • 30% upon completion of the foundation and structural work

    • 30% upon completion of plumbing, electrical, and interior work

    • 10% upon final inspection and completion of landscaping (if applicable)

3. Late Payments

Any late payments by Party B will incur a 2% monthly late fee on the outstanding balance, calculated from the due date until payment is received.


IV. Timeline and Completion

1. Project Schedule

The project will begin on 15th February, 2050, and Party A shall make every reasonable effort to complete the work within 12 months from the start date, with an expected completion date of 15th February, 2051, barring any unforeseen circumstances such as extreme weather or supply chain delays.

2. Delay and Extension

If Party A encounters any delays due to causes outside of its control, including weather, labor shortages, or government regulations, Party A must promptly notify Party B in writing and request an extension. Party B shall grant a reasonable extension for delays that are not caused by Party A’s negligence.


V. Change Orders and Modifications

1. Change Orders

Any changes or modifications to the project scope that alter the cost or timeline must be documented through a written change order, which must be signed by both parties before work proceeds on the changes. Change orders may affect both the contract price and the completion date.

2. Unforeseen Conditions

In the event that unforeseen conditions, such as hidden structural issues or hazardous materials, are discovered during construction, Party A will notify Party B immediately and may request a change order to address the issues. Any additional costs due to unforeseen conditions will be approved by Party B before work proceeds.


VI. Warranties and Guarantees

1. Workmanship Warranty

Party A warrants that all work performed under this Agreement will be free from defects in workmanship for a period of 1 year following completion. If any defects arise during this period, Party A agrees to correct the defects at no additional cost to Party B.

2. Materials Warranty

Party A shall use new, high-quality materials for the construction project, and Party A will honor any manufacturer warranties for materials used in the project. If any materials fail within the manufacturer’s warranty period, Party A will coordinate repairs or replacements at no cost to Party B.


VII. Insurance and Bonding

1. Insurance Requirements

Party A agrees to carry appropriate insurance coverage for the duration of the project, including:

  • General Liability Insurance covering any accidents or damage to property or persons during the project.

  • Workers’ Compensation Insurance to cover employees working on the project.

  • Builders Risk Insurance to cover damages to the project site during construction.

Party A will provide certificates of insurance to Party B upon request.

2. Performance Bond

Party A agrees to provide a performance bond in the amount of $100,000 to guarantee the completion of the project in accordance with the terms of this Agreement.


VIII. Dispute Resolution

1. Negotiation

In the event of any dispute arising under this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiations.

2. Mediation

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation before seeking other legal remedies. The mediation will be conducted in Texas.

3. Arbitration

If the dispute is not resolved through mediation, the parties agree to resolve the dispute through binding arbitration under the rules of the American Arbitration Association.


IX. Termination

1. Termination for Convenience

Either party may terminate this Agreement for convenience upon providing 30 days written notice to the other party. In the event of termination, Party B will pay Party A for the work completed to date, and Party A will return any unused materials.

2. Termination for Cause

If either party defaults on their obligations under this Agreement, the non-defaulting party may terminate the Agreement immediately upon providing 10 days written notice. The defaulting party will be liable for any damages incurred by the non-defaulting party as a result of the default.


X. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of this Agreement will be resolved in the courts located in Texas.


XI. Miscellaneous Provisions

1. Entire Agreement

This Agreement represents the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, whether oral or written.

2. Force Majeure

Neither party shall be held liable for delays or failures to perform due to causes beyond their reasonable control, including but not limited to acts of nature, government orders, or labor disputes.
