Free Consultant Engagement Letter

I. Introduction
This Consultant Engagement Letter ("Agreement") is entered into as of [Date] by and between [Your Company Name], with a principal address at [Your Company Address] ("Consultant"), and [Second Party Company Name], with a principal address at [Second Party Company Address] ("Client"). The purpose of this Agreement is to establish the terms and conditions under which Consultant will provide consulting services to the Client.

Consultant agrees to provide the services outlined in the attached Exhibit A, which details the specific consulting work, advice, and deliverables expected during the engagement. Services will be provided as per the specifications agreed upon by both parties and within the scope of this Agreement.
III. Term of Engagement

VII. Indemnification and Liability
Consultant agrees to indemnify and hold the Client harmless from any claims, damages, or liabilities arising out of Consultant’s breach of this Agreement. Neither party will be held liable for any indirect, special, or consequential damages resulting from the services provided under this Agreement.
VIII. Termination
Either party may terminate this Agreement with written notice if the other party materially breaches any of the terms outlined herein. Upon termination, the Consultant will be entitled to payment for any services rendered up to the date of termination.
IX. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through informal negotiation and mediation before pursuing other legal remedies. If unresolved, any dispute will be subject to binding arbitration in [State], under the rules of [Arbitration Body].
X. Miscellaneous Provisions
