I. Purpose of the MOU

The purpose of this MOU is to establish the terms and conditions under which the Parties agree to collaborate in the development and distribution of innovative technology solutions aimed at enhancing business operations and customer engagement for mutual benefit.

II. Scope of Collaboration

This partnership will include the following areas of collaboration:

  • Development of software solutions for enterprise resource planning (ERP).

  • Joint research and development efforts to create new, cutting-edge technologies.

The Parties will work together to achieve shared goals, ensuring that their individual resources are aligned and effectively utilized.

III. Responsibilities of the Parties

V. Financial Considerations

The Parties agree to the following financial terms and conditions:

VIII. Termination

Either Party may terminate this MOU with 30 days written notice to the other Party. Termination can be based on the following conditions:

  • Breach of any terms of the agreement.

  • Failure to meet specified sales targets for two consecutive quarters.

IX. Governing Law

This MOU shall be governed by and construed in accordance with the laws of Texas.

X. Miscellaneous

  • This MOU does not create a legally binding agreement but expresses the Parties' intent to collaborate in good faith.

  • Any amendments to this MOU must be made in writing and signed by both Parties.

  • The Parties acknowledge that they have the authority to enter into this MOU.
