This Memorandum of Understanding ("MoU") is entered into as of January 7, 2066, by and between [Your Company Name], located at [Your Company Address], and Nautix, located at Richmond, CA 94801. Hereinafter, collectively referred to as the "Parties."
1. Purpose
The purpose of this MoU is to establish the terms and conditions under which the Parties agree to engage in joint venture activities for mutual benefit. 2. Scope of Collaboration

3. Confidentiality
Both Parties agree to maintain strict confidentiality regarding any proprietary information shared between them and to use such information solely for the purpose of fulfilling the objectives of this MoU.
4. Term and Termination
This MoU shall commence on the date of signature by both Parties and remain in effect until January 7, 2069, unless terminated earlier by either Party with 60 days' written notice to the other Party.
5. Dispute Resolution
In the event of any dispute arising out of or relating to this MoU, the Parties agree to first attempt to resolve the dispute through good-faith negotiations. If such negotiations are unsuccessful, the matter shall be referred to mediation before pursuing any other formal legal solution.
6. Governing Law
This MoU shall be governed by and construed in accordance with the laws of the State of California.
7. Amendments
Any amendments to this MoU must be made in writing and signed by both Parties.
