This Memorandum of Understanding (MoU) is made and entered into as of January 8, 2069 (the "Effective Date"), by and between [Your Company Name], having its principal place of business at [Your Company Address] (hereinafter referred to as "Company"), and Tom Walter, residing at Laredo, TX 78040 (hereinafter referred to as "Employee").
I. Purpose

IV. Term and Termination

V. Confidentiality
The Employee agrees to keep confidential all business, technical, and personal information and data disclosed to the Employee by the Company or learned by the Employee during the term of this MoU. The Employee shall not disclose such information to any third party without the Company's prior written consent.
VI. Governing Law
This MoU shall be governed by and construed in accordance with the laws of the State of Texas.
VII. Amendments
This MoU may be amended or modified only by written agreement signed by both parties.
VIII. Entire Agreement
This MoU constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of every kind and nature between the parties.
