MoU for Collaborations

This Memorandum of Understanding (hereinafter referred to as "MoU") is entered into effective as of January 1, 2077, by and between [Your Company Name], with its principal place of business at [Your Company Address], and AireMix, with its principal place of business at Spokane, WA 99201.

1. Purpose

The purpose of this MoU is to establish a framework for collaboration between the parties to achieve mutually beneficial objectives and to outline the principles of cooperation, as well as the respective roles and responsibilities of each party.

2. Scope of the Collaboration

The parties agree to collaborate on the following activities:

  • Joint research initiatives

  • Exchange of information and resources

3. Responsibilities of the Parties

4. Term and Termination

This MoU shall commence on the effective date and shall continue until terminated by either party with 30 days written notice to the other party. This MoU may also be terminated by the mutual written consent of both parties.

5. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information received from the other party during the course of this collaboration, and not to disclose it to any third parties without prior written consent, except as required by law.

6. Intellectual Property

Any intellectual property jointly developed under this MoU shall be jointly owned by the parties, unless otherwise agreed upon in writing. Each party shall retain sole ownership of its pre-existing intellectual property.

7. Dispute Resolution

In the event of a dispute or disagreement arising out of or relating to this MoU, the parties agree to first attempt to resolve the issue through good faith negotiations. If the dispute cannot be resolved, the matter shall be submitted to mediation by a mutually agreed-upon mediator.
