Non-Disclosure MoU
1. Purpose
This Non-Disclosure Memorandum of Understanding (hereinafter referred to as "MoU") is entered into by the undersigned parties for the purpose of preventing the unauthorized disclosure of confidential information. The parties are contemplating engaging in discussions and potential partnerships which necessitate the exchange of confidential information.
2. Definitions
"Confidential Information" refers to any data or information, whether in written, oral, electronic, or any other form, that is provided by either party to the other, and is designated as confidential or that reasonably ought to be considered confidential.
3. Obligations of the Parties
Each party agrees to maintain strict confidentiality of the Confidential Information shared by the other party and to not disclose such information to any third party without prior written consent from the disclosing party.
Parties also agree to restrict access to the Confidential Information to their employees, agents, or contractors on a need-to-know basis, and ensure that they observe the confidentiality obligations stated herein.
4. Use of Confidential Information
The receiving party shall use the Confidential Information solely for the discussions and evaluations related to the potential partnership. The receiving party must not use the Confidential Information for any purpose other than that stated in this MoU.
5. Term
This MoU shall commence upon the execution date and shall continue for a period of two (2) years, unless terminated earlier by either party with thirty (30) days written notice.
6. Governing Law
This MoU shall be governed by and construed in accordance with the laws of the jurisdiction in which the principal place of business of the disclosing party is located, without regard to its conflict of law principles.
7. Signatures
The parties have executed this Non-Disclosure Memorandum of Understanding as of the effective date stated below.
