This Memorandum of Understanding (the "MoU") is entered into on January 8, 2061, by and between [YOUR COMPANY NAME], a corporation organized and existing under the laws of California, with its principal office located at [YOUR COMPANY ADDRESS] (hereinafter referred to as the "Company"), and Charley Stokes, an individual existing under the laws of California, with a principal office located at San Bernardino, CA 92401 (hereinafter referred to as the "Investor").
1. Purpose
The purpose of this MoU is to outline the general intentions and prospective scope of investment discussions between the Company and the Investor regarding potential investment opportunities within the Company. This MoU is intended solely as a basis for further negotiations and does not constitute a legally binding agreement, except where explicitly stated.
2. Scope of Investment

4. Exclusivity
During the term of this MoU, the Investor shall have the exclusive right to negotiate the investment terms with the Company, and the Company agrees not to engage in discussions with other potential investors regarding the same opportunity.
5. Term and Termination
This MoU shall remain in effect for a period of 60 days from the date of execution, unless extended by mutual agreement or terminated by either party with written notice. This MoU may be terminated at any time by either party if the negotiations are deemed unsuccessful.
6. Governing Law
This MoU shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.
7. Entire Agreement
This MoU constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
