This Data Privacy Non-Disclosure Agreement is made and entered into as of [Date], by and between:
[Company Name], a corporation organized and existing under the laws of [State/Country], with its principal place of business located at [Company Address] (hereinafter referred to as the "Disclosing Party"), and [Name], residing at [Your Address] (hereinafter referred to as the "Receiving Party"). Collectively referred to as the "Parties."
WHEREAS, the Disclosing Party desires to disclose to the Receiving Party certain confidential and proprietary information for the purpose of [Purpose], as further described herein; and
WHEREAS, the Receiving Party is in a position to receive such confidential and proprietary information and has the necessary measures in place to keep such information confidential;
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
Purpose
The Disclosing Party desires to disclose to the Receiving Party certain confidential and proprietary information for the purpose of [Purpose]. Both parties agree to treat this information as confidential in accordance with the terms of this Agreement.
Definition of Confidential Information
For the purposes of this Agreement, "Confidential Information" means any and all data, information, documents, software, or materials belonging to the Disclosing Party which are disclosed or provided by the Disclosing Party to the Receiving Party.

The Receiving Party agrees to hold and maintain the Confidential Information in the strictest confidence and to take all reasonable precautions to prevent unauthorized disclosure or use of the Confidential Information.

The Receiving Party shall not disclose, reproduce, or disseminate the Confidential Information to any third party without the written consent of the
Disclosing Party.

The Receiving Party may only use the Confidential Information for the purpose specified in this Agreement and for no other purpose unless otherwise agreed upon in writing.

Exceptions

Information that is publicly known at the time of disclosure.

Information that becomes publicly known after disclosure through no fault of the Receiving Party.

Information that the Receiving Party can demonstrate was independently developed without the use of the Confidential Information.
Duration and Termination

This Agreement shall commence on the Effective Date and shall remain in effect for a period of one (1) year, or until the completion of the Purpose, whichever comes first.

Upon termination of this Agreement, the Receiving Party shall return or destroy all copies of Confidential Information and certify the same to the Disclosing Party in writing.
Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of the State of [State/Country], without regard to its conflict of laws principles.
Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. Any amendments to this Agreement must be in writing and signed by both Parties.
