SERVICE AGREEMENT

PARTY A: IntelShop

PARTY B: Trace Durgan
Address: Seattle, WA 98101
TERMS AND CONDITIONS
1. Scope of Service
This Agreement holds that Party A will provide web development services for Party B for a period of 12 months, starting from May 5, 2050. Specific tasks and requirements will be specified in project scopes to be agreed upon as needed during the course of this Agreement.
2. Compensation
For these services, Party B will pay Party A a fee of $50 per hour.
3. Terms of Payment
Invoices will be submitted by Party A at the end of each month listing the hours worked and services performed. Party B will pay the invoice within 30 days of receipt.
4. Term
This agreement will take effect on May 5, 2050, and will end on May 5, 2051, unless terminated by either Party or extended by an amendment signed by both Parties.
5. Termination
Either Party may terminate the Agreement upon written notice if there is a breach of the terms, if either Party declares bankruptcy, or if mutually agreed upon.
CONFIDENTIALITY
Both Parties agree not to disclose any confidential information obtained from the other Party to third parties without prior written consent.
INDEMNIFICATION
Each Party shall indemnify, defend, and hold harmless the other from any and all claims, losses, damages, liabilities, costs, and expenses arising out of or in relation to any breach of their respective obligations under this Agreement.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Imaginary City.
SIGNATURES
This Agreement has been read and understood by both Parties, and its effectiveness is upon the date first above written.
