Assignment Agreement
ASSIGNMENT AGREEMENT
THIS ASSIGNMENT AGREEMENT (the "Agreement") is made on the 3rd day of January 2050, by and between Ryan Higgs ("Assignor"), located at 101 Oak Drive, Suite 56, Hillcrest, FL 33127, and Bella Nina ("Assignee"), located at 654 Meadowview Court, #789, Blissful Meadows, FL 33127.
Recitals
WHEREAS, Assignor is the creator and owner of certain rights related to the software application TechSolutions; and
WHEREAS, Assignee is desirous of acquiring all of Assignor's rights, title, and interest in and to the TechSolutions software application (the "Assigned Property");
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
1. Assignment and Acceptance
Assignor hereby assigns, transfers, and conveys to Assignee all rights, title, and interest in and to the Assigned Property. Assignee accepts such assignment and agrees to assume all rights and obligations pertaining to the Assigned Property.
2. Consideration
In consideration for the rights granted under this Agreement, Assignee shall pay to Assignor a total amount of $10,000, the receipt and sufficiency of which is hereby acknowledged by Assignor.
3. Warranties and Representations
Assignor represents and warrants to Assignee that Assignor is the sole author of the Assigned Property, that it owns all proprietary rights in and to the Assigned Property, and that it has full power and authority to execute this Agreement.
4. Indemnification
Assignor agrees to indemnify, defend, and hold harmless Assignee from any claim, liability, damage, or cost (including reasonable attorneys' fees) arising out of or relating to the Assigned Property or Assignor's breach of any representation or warranty under this Agreement.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Florida. Any legal actions, suits, or proceedings will be brought in the courts located in Hillcrest, Florida.
6. Entire Agreement
This Agreement constitutes the entire agreement between the parties hereto concerning the subject matter hereof.
