Maintenance Agreement
MAINTENANCE AGREEMENT
This Maintenance Agreement (the "Agreement") is entered into as of January 1, 2050 (the "Effective Date"), by and between Enigma Repairs, a licensed maintenance service provider with its primary place of business at 808 Maple Lane, Apt 7A, Lakeside, NY 10010 ("Contractor"), and Halo Candy Manufacturing, a manufacturer with its primary place of business at 202 Redwood Avenue, Suite 12, Meadowville, NY 10013 ("Client").
1. SCOPE OF SERVICES
The Contractor agrees to provide maintenance and support services to the Client on the latter’s candy manufacturing equipment. These services will encompass, but are not limited to:

Regularly scheduled inspections and preventive maintenance

Timely repairs and parts replacement when necessary
-
On-call emergency repair service
-
Technical support and consulting regarding the operation and maintenance of the equipment.
2. TERM AND TERMINATION
The initial term of this Agreement shall commence on the Effective Date and continue for one year thereafter. After the initial term, the Agreement will automatically renew unless either party gives written notice of termination not less than thirty (30) days before the expiration of the current term.
3. COMPENSATION
The Client shall pay the Contractor a yearly service fee as per the quote accepted by the Client. This fee shall cover all the services listed in Section 1 except for parts replacement, which shall be billed separately. Payments will be due within thirty (30) days of receipt of an invoice from the Contractor.
4. RESPONSIBILITIES OF THE PARTIES
The responsibilities of the Contractor and the Client shall include, but not be limited to, the following:
Contractor:

To use reasonable efforts to perform the services in a professional and timely manner

To document and report all services performed and parts replaced
-
To maintain client confidentiality and secure any proprietary information.
Client:
-
To provide the Contractor with complete and accurate equipment information

To grant the Contractor complete access to the equipment for performing required services

To timely pay all amount due to the Contractor.
5. INDEPENDENT CONTRACTOR
This Agreement should not in any way constitute a partnership or employment relationship between the parties; the Contractor shall operate as an independent contractor in providing the services under this Agreement.
6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Client's primary place of business is located.
7. SIGNATURES
This Maintenance Agreement will only become fully effective upon the signature of both parties involved.
