RECITALS
The Company is actively engaged in the business and wishes to raise funds for its ongoing operations and expansion. The Secondary Party wishes to invest in the Company on the terms outlined in this agreement.
AGREEMENT
Now, therefore, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

This Agreement contains the entire agreement of the Parties with respect to the transactions contemplated herein and supersedes all existing agreements among them concerning the subject matter.
