1. Introduction

5. Termination Clause

5.1 Termination Conditions

This Agreement may be terminated by either party in accordance with the following conditions:

  • Breach of Diversity Commitments: Either party may terminate this Agreement if the other party fails to meet its diversity and inclusion commitments as outlined in Section 2 of this Agreement, and such breach remains unremedied after a specified period for remedy, typically 30 calendar days from the date of written notice of the breach.

  • Material Breach: Either party may terminate this Agreement if the other party commits a material breach of any other provision of this Agreement, and such breach remains unremedied after a specified period for remedy, typically 30 calendar days from the date of written notice of the breach.

  • Insolvency or Bankruptcy: Either party may terminate this Agreement if the other party becomes insolvent, files for bankruptcy, or is subject to any similar legal proceeding, with immediate effect upon the occurrence of such insolvency, bankruptcy, or legal proceeding.

  • Change in Control: Either party may terminate this Agreement if there is a change in control of the other party's ownership or management that results in a material change in the ability to fulfill the terms of this Agreement, and such change remains unremedied after a specified period for remedy, typically 60 calendar days from the date of written notice of the change in control.

6. Confidentiality

6.1 Handling of Confidential Information

All confidential information exchanged under this Agreement shall be handled in accordance with applicable laws and regulations. Both parties agree to maintain the confidentiality of sensitive information.

7. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through mediation. The parties shall jointly select a qualified and neutral mediator with expertise in the subject matter of the dispute within 15 calendar days of either party's notification of the dispute. If a mutual agreement on the choice of mediator cannot be reached within this specified period, either party may request the assistance of a recognized mediation service to appoint a qualified mediator.
