This Marketing Retailer Agreement for Product Display ("Agreement") is entered into by and between [Your Company Name], a corporation organized and existing under the laws of New York, having its principal place of business at [Your Company Address] ("Company"), and Zac Retail Inc., a company registered under the laws of New York, having its principal place of business at 456 Oak Avenue, Brooklyn, NY ("Retailer").

I. Background

Company and Retailer desire to collaborate on the marketing and display of Company's products within Retailer's premises. This Agreement outlines the terms and conditions governing this marketing arrangement.

II. Definitions

  • Product(s): Refers to the products supplied by Company, including clothing, electronics, and accessories, as detailed in Exhibit A.

  • Display Area: The designated area within Retailer's premises, approximately 100 square feet in size, where Company's products will be showcased.

  • Term: The initial term of this Agreement shall be 24 months, commencing on January 1, 2053, and ending on December 31, 2054.

III. Term

Initial Term: The initial term of this Agreement shall be 24 months, commencing on  January 1, 2053, and ending on  December 31, 2054.

Renewal: Upon mutual agreement, this Agreement may be renewed for additional terms, each term not exceeding 12 months.

IV. Product Display

Display Area: The Retailer agrees to allocate a prominent and well-maintained Display Area within its premises, located at the front entrance, for the exclusive display of Company's products, including clothing racks, shelving, and digital screens.

Product Placement: The Company shall determine the placement and arrangement of its products within the Display Area to maximize visibility and sales, with a focus on seasonal displays and product themes.

Maintenance: The Retailer shall ensure the cleanliness and proper maintenance of the Display Area at all times, including regular cleaning, repairs, and lighting.

V. Market Collaboration

Promotions: Company and Retailer shall collaborate on marketing promotions and campaigns to drive foot traffic and increase product sales. This includes joint advertising efforts, such as flyers, email newsletters, and social media posts.

Branding: Retailer agrees to prominently display Company's branding materials, including the company logo, at the display area, ensuring that it is visible from the street.

Online Promotion: Company shall feature the Retailer on its website [Company Website] and social media channels [Company Social Media] to boost Retailer's online presence, with at least one featured post per month.

VI. Compensation

Commission: Retailer shall receive a commission of 15% on the net sales of Company's products within the Display Area.

Payment: Payment of commissions shall be made on a monthly basis, within 30 days following the end of each calendar month. Payment will be made via electronic funds transfer to the Retailer’s bank account. 

VII. Termination

Termination for Convenience: Either party may terminate this Agreement with 30 days' written notice.

Breach: If either party breaches any material provision of this Agreement, the non-breaching party may terminate this Agreement with immediate effect.

VIII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New York.

IX. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether oral or written.
