1. Parties
This Administration Office Confidentiality Non-Disclosure Agreement (the "Agreement"), effective on the date last signed below (the "Effective Date"), is entered into by and between:

4. Obligations of the Employee
Upon the execution of this Agreement, the obligations of the Employee with respect to the Confidential Information are as follows:

Maintain the Confidential Information in strict confidence: The Employee agrees to take all necessary precautions to protect the Confidential Information from unauthorized disclosure or use, both during and after the term of their employment or engagement with the Employer.

Not to disclose the Confidential Information to any third parties: The Employee shall not disclose, reveal, or make available any Confidential Information to any third party without the prior written consent of the Employer.

Not to use the Confidential Information for any purposes other than as set out under the Purpose: The Employee shall use the Confidential Information solely for the Purpose and shall not use it for any other purpose without the express written consent of the Employer.
5. Exceptions to Confidential Information
The term "Confidential Information" does not include information that:

Was public at the time of its disclosure: Information that is or becomes publicly known through no wrongful act of the Employee shall not be considered Confidential Information under this Agreement.

Is legally obtained by the Employee on a non-confidential basis from a third party: If the Employee lawfully receives Confidential Information from a third party without restriction on disclosure, such information shall not be subject to the terms of this Agreement.
6. Duration and Termination
This Agreement shall begin on the Effective Date and will continue for a period of [Duration] unless terminated earlier by either party. The obligations and restrictions of the Employee in relation to the Confidential Information shall continue after the termination of this Agreement until such Confidential Information enters the public domain.
7. Governing Law and Jurisdiction
