6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, and any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within the State of California.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
