This Nursing Home Confidentiality Agreement ("Agreement") is entered into by and between:

Collectively referred to as the "Parties."

1. Purpose

The purpose of this Agreement is to ensure the protection and confidentiality of sensitive information exchanged or accessed by the Employee during the course of their employment with the Nursing Home.

2. Confidential Information

For the purposes of this Agreement, "Confidential Information" shall include, but not be limited to:

  • Resident medical records and personal information.

  • Nursing Home policies, procedures, and practices.

  • Financial records and proprietary information.

  • Employee and resident schedules.

  • Any other information marked or reasonably understood to be confidential.

3. Non-Disclosure Obligations

3.1 Employee agrees not to disclose, reveal, or make unauthorized use of any Confidential Information obtained during the term of their employment with the Nursing Home, both during and after termination of employment, except as required by law or with the prior written consent of the Nursing Home.

3.2 Employee agrees to take all reasonable precautions to protect the confidentiality of Confidential Information and to prevent its unauthorized disclosure or use, including but not limited to safeguarding electronic files and maintaining physical security measures.

4. Ownership of Information

Employee acknowledges that all Confidential Information remains the exclusive property of the Nursing Home, and nothing in this Agreement shall be construed as granting any rights to Employee with respect to such information, except as expressly provided herein.

5. Return of Materials

Upon termination of employment, Employee agrees to promptly return to the Nursing Home all materials, documents, electronic files, or other property containing or related to Confidential Information.

6. Remedies

Employee acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Nursing Home, for which monetary damages may not be a sufficient remedy. In the event of a breach or threatened breach of this Agreement, the Nursing Home shall be entitled to seek injunctive relief and any other remedies available at law or in equity.

7. Miscellaneous

7.1 This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

7.2 This Agreement may be amended or modified only in writing and signed by both Parties.

7.3 This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles.
