Music license agreement
This Music License Agreement (the "Agreement") is entered into as of [Date], between [Your Name], located at [Your Company Address] (hereinafter referred to as the "Licensor"), and [Licensee Name], located at [Licensee Address] (hereinafter referred to as the "Licensee").
1. Grant of License
Subject to the terms of this agreement, the Licensor hereby grants to the Licensee an exclusive, non-transferable license to publicly perform the Licensor's music at various public events including but not limited to concerts, festivals, and theatrical productions. The rights granted herein are subject to the receipt by the Licensor of due payment from the Licensee.
2. Scope of Use
The license granted herein permits the Licensee to perform the Music live in public settings only as part of concerts, festivals, or theatrical productions specified in Section 1 above. The Licensee shall not have the right to record, reproduce, distribute, or transmit the Music in any form without the prior written consent of the Licensor.
3. Term
This Agreement shall commence on the effective date set forth above and shall continue in full force and effect until terminated by either party following Section 8 below.
4. Payment

5. Performance Obligations

6. Representations and Warranties
a. The Licensor represents and warrants that it has the full right, power, and authority to grant the license to the Music as set forth herein.
b. The Licensee represents and warrants that it shall use the Music only following the terms of this Agreement and applicable laws and regulations.
7. Indemnification
The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of this Agreement by the Licensee or its representatives.
8. Termination
Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within [Specify Cure Period] days following receipt of written notice thereof.
9. Governing Law
This Agreement shall be governed by and construed following the laws of [Specify Jurisdiction], without regard to its conflict of law principles.
10. Entire Agreement
