1. Investment

1.1 Amount: The individual identified as the Investor is obligated and has agreed to contribute a monetary amount, that is the substantial sum of ten thousand dollars which is equivalent to $10,000, into the designated enterprise referred to herein as the Company. This aforementioned monetary transaction will herein and henceforth be denoted as the "Investment".

1.2 Ownership Stake: Taking into account the monetary investment that the Investor is putting into the Company, the Company has declared its intention to issue a total of 10,000 shares from its common stock to the Investor. These 10,000 shares will then correspond to a 5% ownership stake for the Investor in the Company. This percentage is calculated based on the total count of the Company's currently outstanding shares.

2. Rights and Obligations

2.1 Voting Rights: By the proportion of their ownership interest in the Company, the Investor has the right and is entitled to cast votes on various matters that are presented and put forward for the consideration of the shareholders of the Company.

2.2 Information Rights: The Company Company is obligated to furnish the Investor with constant updates that pertain to both the financial performance of the Company as well as any significant developments that may occur within the Company.

2.3 Restrictions on Transfer: The individual who is the investor has entered into an agreement where they have explicitly confirmed that they will not proceed to transfer or assign their ownership stakes in the company to another party without first securing written consent that has been previously issued by the company itself.

2.4 Confidentiality: Both parties involved in the relationship are obligated to uphold and preserve the secrecy and confidentiality of any proprietary information or privileged data that may have been revealed or exchanged in the course of their association or working relationship.

3. Repayment or Dividend Distribution

3.1 Repayment Terms: The amount of investment shall be fully repaid to the investor all at once in one single payment on the date of June 11, 2065. This mentioned date for repayment is set to occur five (5) years after the date on which this agreement is being established.

3.2 Dividend Distribution: The responsibility has been given to the Company to distribute dividends to the Investor. 4.2 By the Investor: The individual or entity who is acting as the Investor, by engaging in this Agreement, is making a formal representation and warranty stating that they possess the requisite legal capacity as well as the unquestionable authority, as required by law, to effectively enter into this Agreement. In addition, they further affirm that they have the legal powers to make the planned Investment as per the terms that have been stipulated within this Agreement.

5. Indemnification

Each party involved in this agreement willingly consents to take responsibility and ensure the protection of the other party from potential risks. This includes risks originating from or affiliated with any claims, any damages incurred, obligations, expenses, and costs that may come about due to any infringement or violation of the rules and regulations specified in this Agreement.

6. Governing Law and Dispute Resolution

The governance and interpretation of this Agreement shall be carried out by the laws of California. Should any disputes or disagreements arise about this Agreement, they shall be resolved through the process of arbitration. The arbitration will be conducted by the rules specified by a certain arbitration institution. The venue for the arbitration will be a specific city in the previously mentioned California.

7. Miscellaneous

7.1 Entire Agreement: This Agreement is deemed to be the comprehensive and complete agreement between the parties involved, about the matter in question.
