I. Parties

This Performance Agreement ("Agreement") is entered into on [Date], by and between: [Your Company Name], a corporation organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Your Company Address] (hereinafter referred to as the "Organizer"). [Performer's Name], a limited liability company organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Performer's Address] (hereinafter referred to as the "Performer"). Collectively referred to as the "Parties" and individually as a "Party."

II. Background

Whereas, the Organizer is engaged in organizing various live entertainment events, including but not limited to concerts, music festivals, theater productions, comedy shows, dance performances, and other similar events (hereinafter referred to as the ("Event"); and

Whereas, the Performer is a professional performer/artist/group capable of providing entertainment services as described herein;

Now, therefore, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

III. Performance Details

III.I Event Description:

The individual, referred to as the Performer, has agreed and is committed to carrying out a performance at the event or events that are outlined below:

Harmony Park Amphitheater, 123 Main Street, Anytown, USA

Description:

The Music Extravaganza 2024 is a three-day music festival showcasing diverse artists in rock, pop, hip-hop, and electronic music. Attendees will enjoy live performances, interactive activities, and community engagement.

III.II Performance Schedule:

  • Day 1 (May 25th, 2050):

  • Time: 8:00 PM - 9:30 PM

  • Venue: Harmony Park Amphitheater, 123 Main Street, Anytown, USA

  • Performance: Main Stage Performance

  • Day 2 (May 26th, 2050):

  • Time: 6:30 PM - 7:30 PM

  • Venue: Harmony Park Amphitheater, 123 Main Street, Anytown, USA

  • Performance: Outdoor Stage Performance

  • Day 3 (May 27th, 2050):

  • Time: 2:00 PM - 3:00 PM

  • Venue: Harmony Park Amphitheater, 123 Main Street, Anytown, USA

  • Performance: Community Stage Performance

III.III Performance Content:

III.IV Technical Requirements:

  1. Sound System:

  • High-quality PA system suitable for outdoor venues

  • Main speakers and stage monitors

  • Mixing console with at least 24 channels

  • Microphones (dynamic and condenser) and stands

  • DI boxes for instruments

  • Signal processing equipment (equalizers, compressors, etc.)

  1. Stage Lighting:

  • Comprehensive stage lighting setup with spotlights, floodlights, and color wash lights

  • Lighting control console with programmable capabilities

  • Lighting trusses and rigging equipment

  1. Backline Equipment:

  • Drum kit (including drum shells, cymbals, stands, and pedals)

  • Guitar amplifiers (combo or stack) for electric guitars

  • Bass amplifier for electric bass guitars

  • Keyboard amplifiers or direct inputs for electronic keyboards

  1. Stage Setup:

  • Raised stage platform with suitable dimensions for band members and equipment

  • Backstage area with sufficient space for performers and crew

  • Stage backdrop or banners for branding purposes

  1. Power Supply:

  • Sufficient electrical power supply for all equipment, including backup generators if necessary

  • Power distribution units and cables to ensure safe and reliable power distribution

Technical Staff:

  • Experienced sound engineers, lighting technicians, and stagehands to set up, operate, and dismantle equipment

  • Technical crew members for soundcheck and performance support

IV. Financial Arrangements

IV.I Compensation: In consideration of the Performer's services, the Organizer shall pay the Performer the sum of $10,000 as compensation for each performance, payable as follows:

  • 50% of the total amount ($5,000) upon signing this Agreement.

  • 50% of the total amount ($5,000) upon completion of each performance.

IV.II Expenses: The Organizer shall reimburse the Performer for reasonable expenses incurred in connection with the performance, subject to prior approval by the Organizer. Allowable expenses include but are not limited to:

  1. Travel Expenses:

  • Airfare or transportation costs to and from the event venue

  • Ground transportation (e.g., taxi fares, rental car expenses)

  • Accommodation expenses (hotel, lodging)

  1. Meals and Per Diems:

  • Reasonable meal expenses incurred during travel or while at the event venue

  • Per diem allowances for daily expenses, as agreed upon by the Parties

  1. Equipment Rental:

  • Rental fees for specialized equipment or instruments not provided by the Organizer

  • Technical equipment rental (e.g., additional microphones, instruments)

  1. Hospitality and Entertainment:

  • Entertainment expenses for performers' guests or entourage (e.g., tickets to the event, meals)

  • Hospitality expenses for hosting meetings or events related to the performance

  1. Miscellaneous Expenses:

  • Miscellaneous expenses directly related to the performance, subject to approval by the Organizer

  • Any other reasonable expenses incurred with prior consent from the Organizer

V. Promotion and Marketing

V.I Promotional Materials: The Performer hereby grants the Organizer the non-exclusive right to use the Performer's name, likeness, and performance footage for promotional purposes related to "The Music Extravaganza 2050" event(s). This includes, but is not limited to, the following:

  1. Name and Likeness: The Organizer may use the Performer's name and likeness in promotional materials such as posters, flyers, social media posts, press releases, and advertising campaigns to promote "The Music Extravaganza 2050" event(s).

  2. Performance Footage: The Performer grants the Organizer the right to capture and use footage of the Performer's live performances at "The Music Extravaganza 2050" for promotional purposes. This footage may be used in promotional videos, highlight reels, and other promotional content to showcase the Performer's participation in the event(s).

V.II Marketing Obligations: The Organizer shall undertake the following reasonable efforts to promote the Performer's participation in "The Music Extravaganza 2050":

  1. Social Media Promotion:

  • Regular posts on the official event pages/accounts across major social media platforms (e.g., Facebook, Instagram, Twitter).

  • Sharing Performer's promotional materials, such as photos, videos, and event announcements, on social media channels.

  • Utilizing event hashtags and tagging the Performer in relevant posts to increase visibility.

  1. Press Releases:

  • Issuing press releases to local and national media outlets announcing the Performer's involvement in "The Music Extravaganza 2050."

  • Providing media kits containing Performer's biographies, high-resolution images, and relevant information to journalists and media contacts.

  • Advertising:

  • Placing advertisements in print publications (e.g., newspapers, magazines) and online platforms (e.g., music websites, event listings).

  • Securing radio and television spots to promote the Performer's performances and increase audience reach.

  • Collaborating with sponsors and partners to include Performer mentions in their advertising materials.

  1. Collaborative Promotion:

  • Collaborating with the Performer's management team or representatives to align marketing efforts and maximize promotional opportunities.

  • Coordinating promotional campaigns and contests featuring the Performer to engage fans and attract attendees to the event.

VI. Representations and Warranties

VI.I Performer's Representations: The Performer represents and warrants that:

  • They have the legal capacity to enter into this Agreement.

  • They possess all necessary rights, licenses, and permissions to perform the agreed-upon performance(s).

  • Their performance(s) will not violate any third-party rights or any applicable laws or regulations.

VI.II Organizer's Representations: The Organizer represents and warrants that:

  • They have the legal capacity to enter into this Agreement.

  • They will provide adequate resources and support for the Performer's performance(s) as outlined herein.

VII. Termination

VII.I Termination for Cause: Either Party may terminate this Agreement upon written notice to the other Party in the event of a material breach of any provision of this Agreement by the other Party if such breach is not cured within 30 days of written notice thereof.

VII.II Termination for Convenience: Either Party may terminate this Agreement at any time, for any reason or no reason, upon 30 days' prior written notice to the other Party.

VIII. Miscellaneous

VIII.I Entire Agreement: This Agreement constitutes the entire understanding between [Your Company Name] and [Performer's Name] concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. Any modifications or amendments to this Agreement must be made in writing and signed by both Parties.

VIII.II Governing Law: The terms, conditions, and interpretations of this Agreement will be governed by and construed by the legal principles and rules in force in [Jurisdiction].

VIII.III Amendment: The only way that this Agreement can be amended is through a written instrument that has been executed, meaning signed and approved, by both parties involved in this Agreement.

VIII.IV Severability: Should it come to pass that any provision that is present within this Agreement is found categorically to be invalid or unenforceable, it should be clearly understood that this does not imply that the remaining provisions will be affected in any way. These surviving stipulations, unaffected by the invalidity or unenforceability of the other provision(s), are to remain in full force and effect.
