Preamble

WHEREAS, [Partner's Name] (hereinafter referred to as the "Partner"), is an entity or individual with expertise in participating in and contributing to interior design projects, residing at or operating from [Partner's Address]; and
WHEREAS, the Design Firm desires to collaborate with the Partner to execute interior design projects, and the Partner is willing to engage in such projects under the terms set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, this Interior Design Project Agreement (the “Agreement”) is entered into as of [Date], by and between the Parties defined above.
1. Project Engagement and Responsibilities
1.1 Engagement
The Design Firm hereby engages the Partner to collaborate on specified interior design projects as may be mutually agreed upon by the Parties from time to time. The Design Firm grants the Partner the authority to participate in design tasks and decisions in the projects outlined in individual project contracts.
1.2 Scope of Responsibilities
The Partner's responsibilities under this Agreement include, but are not limited to, contributing creative designs, selecting materials, engaging with vendors, and overseeing the installation processes as per project requirements. Additionally, the Partner will collaborate closely with the Design Firm to ensure design integrity and client satisfaction are maintained throughout the project lifecycle.
1.3 Standard of Performance
The Partner agrees to perform their duties with the highest level of professionalism and commitment, dedicating the necessary time, attention, and energy to ensure the successful completion of the projects under this Agreement. The Partner commits to uphold the highest industry standards in all project-related interactions and in managing any challenges that arise.
2. Duration and Termination of Agreement
2.1 Effective Date
This Agreement shall take effect from [Start Date] and will continue until completion of the projects covered under this Agreement or until otherwise terminated as provided herein.
2.2 Termination
This Agreement may be terminated by either the Design Firm or the Partner upon providing at least 60 days' written notice to the other party. 3. Financial Terms and Conditions
3.1 Compensation
The Partner will be compensated as stipulated in individual project contracts, which detail the specific scope of work, budget considerations, and payment schedules.
3.2 Invoicing and Payments
The Partner will submit invoices in accordance with the payment schedule set forth in individual project contracts. The Design Firm agrees to pay the invoices within the terms specified in the project contracts.
4. Confidentiality Obligations
4.1 Confidential Information
The Partner agrees to maintain the confidentiality of all proprietary information related to the business operations of the Design Firm and its clients. This includes, but is not limited to, design concepts, client information, and vendor details.
4.2 Duration of Confidentiality
This confidentiality obligation shall extend beyond the termination of this Agreement, protecting all sensitive information unless disclosure is necessary as required by law.
5. Non-Compete and Non-Solicitation
5.1 Non-Compete
During the term of this Agreement and for one year thereafter, the Partner agrees not to engage in or support any business activities that compete directly with the Design Firm within a specified geographical region.
5.2 Non-Solicitation
For two years post-termination, the Partner shall not solicit or attempt to solicit any employees or clients of the Design Firm, safeguarding the firm's interests and client relationships.
6. Resolution of Disputes
6.1 Arbitration
Any disputes arising from this Agreement will be settled through arbitration per the guidelines of the American Arbitration Association, by an arbitrator agreed upon by both parties.
6.2 Location and Legal Fees
Arbitration will take place in [City, State]. The prevailing party in any dispute resolution process shall be entitled to reasonable attorney’s fees and costs.
7. General Provisions
7.1 Entire Agreement
