I. Introduction

This Spa Performance Agreement (the "Agreement") is entered into on [Date], between [Your Company Name] ("Provider"), located at [Your Company Address], and [Second Party Name] ("Client"), located at [Second Party Address]. The purpose of this Agreement is to outline the terms and conditions under which Provider will offer spa services within the premises of Client's spa facility.

II. Definitions

  3. "Services": Spa treatments, therapies, and activities provided by Provider within Client's spa facility.

III. Scope of Services

Provider agrees to provide the following services within Client's spa facility:

  3. Hot Stone Therapy

  4. Aromatherapy

  5. Facials

IV. Duration

This Agreement shall commence on [Start Date] and shall remain in effect until [End Date], unless terminated earlier in accordance with the provisions herein. Upon expiration, this Agreement may be renewed by mutual written agreement of the parties.

V. Compensation

Client agrees to compensate Provider for services rendered as follows:

  1. Monday to Friday: 10:00 AM to 6:00 PM

  2. Saturday: 9:00 AM to 5:00 PM

  3. Sunday: Closed

VII. Responsibilities

A. Provider Responsibilities

  1. Provide services in a professional manner consistent with industry standards.

  2. Adhere to [Client Spa Facility]'s policies and procedures.

  3. Respect client confidentiality and privacy.

B. Client Responsibilities

  1. Provide necessary equipment, supplies, and facilities for the provision of services.

  2. Maintain cleanliness and hygiene standards within [Client Spa Facility].

  3. Market and promote Provider's services to clients.

VIII. Confidentiality

Provider agrees to maintain the confidentiality of client information and trade secrets obtained during the course of providing services within [Client Spa Facility].

IX. Non-Compete

During the term of this Agreement, Provider agrees not to offer similar services at competing establishments within a 10-mile radius of [Client Spa Facility] or for a period of 12 months following termination of this Agreement.

X. Termination

Either party may terminate this Agreement upon 30 days' written notice to the other party for any reason or no reason at all. In the event of termination, Provider shall be entitled to receive compensation for services rendered up to the date of termination.

XI. Liability

Provider agrees to indemnify and hold harmless Client from any claims, liabilities, damages, or expenses arising out of or related to the provision of services under this Agreement. Provider shall maintain appropriate insurance coverage for liabilities arising from the provision of services.
