1. Definitions

1.1 "Performance Goals": Specific, measurable objectives that Employee is expected to achieve within a specified time frame.

1.2 "Performance Review": A periodic assessment of Employee's performance against the Performance Goals.

1.3 "Confidential Information": Any proprietary information, technical data, trade secrets, or know-how, including but not limited to research, product plans, products, services, customer lists and customers (including, but not limited to, customers of Gym on whom Employee called or with whom Employee became acquainted during the term of this Agreement), markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, marketing, finances or other business information disclosed directly or indirectly in writing, orally or by drawings or observation.

2. Term of Agreement

This Agreement shall commence on the Effective Date and shall continue for a period of one year, unless earlier terminated in accordance with the provisions of this Agreement. The term may be extended by mutual written agreement of the parties.

3. Performance Goals

3.1 Establishment of Goals: Performance Goals for Employee will be set at the beginning of each quarter by mutual agreement between Gym and Employee. These goals will be documented in writing and signed by both parties.

3.2 Categories of Goals: Performance Goals will be categorized into the following areas:

Sales and Membership: Targets related to new memberships, renewals, and sales of gym services and products.

Client Satisfaction: Metrics related to customer feedback, retention rates, and service quality.

Operational Efficiency: Goals related to the effective and efficient operation of the gym, including equipment maintenance, class schedules, and staff management.

Personal Development: Objectives related to Employee's professional growth, such as certifications, training, and skill enhancements.

4. Performance Review

4.1 Review Process: Gym will conduct quarterly Performance Reviews to assess Employee's progress toward the established Performance Goals. Reviews will be conducted by [Your Name] or a designated representative.

4.2 Review Criteria: Performance Reviews will consider the following criteria:

  • Achievement of Performance Goals

  • Quality of work

  • Initiative and innovation

  • Teamwork and collaboration

5. Compensation and Benefits

6. Confidentiality

6.1 Confidentiality Obligations: Employee agrees to maintain the confidentiality of all Confidential Information and not to disclose or use such information except as necessary to perform Employee's duties for Gym. This obligation shall continue for a period of five years after the termination of this Agreement.

6.2 Return of Materials: Upon termination of this Agreement, Employee agrees to return to Gym all documents, materials, and other property containing Confidential Information.

7. Intellectual Property

7.1 Ownership of Work Product: Any inventions, designs, developments, and other work product created by Employee in the course of performing services for Gym shall be the exclusive property of Gym. Employee agrees to assign and transfer to Gym all rights, title, and interest in and to such work product.

7.2 Assistance with Protection: Employee agrees to assist Gym, at Gym's expense, in obtaining and enforcing intellectual property protection for any work product created by Employee, including executing any necessary documents.

8. Termination

8.1 Termination by Gym: Gym may terminate this Agreement at any time, with or without cause, by providing [Number] days' written notice to Employee. In the event of termination without cause, Employee shall be entitled to severance pay in accordance with Gym's severance policy.
