I. Introduction

A. Purpose

This Bakery Service Agreement ("Agreement") is made and entered into as of [Effective Date], by and between [Your Company Name], a [State] corporation with its principal place of business at [Your Company Address] ("Bakery"), and [Your Partner Company Name], a [State] corporation with its principal place of business at [Your Partner Company Address] ("Client"). B. Term

II. Services Provided

The Bakery agrees to provide the following services to the Client:

  3. Special Events: The Bakery will provide services for special events as detailed in Appendix A, including catering for events, custom cakes, and specialty pastries.

B. Quality Assurance

The Bakery guarantees that all baked goods provided will meet the highest standards of quality and freshness. All products will be baked fresh daily and delivered within 24 hours of production to ensure maximum freshness.

C. Custom Orders

The Bakery will accommodate custom orders as requested by the Client. Custom orders must be placed at least [Number] days in advance and will be subject to additional charges as outlined in Appendix B.

III. Payment Terms

A. Pricing

The Client agrees to pay the Bakery for the services provided according to the pricing schedule set forth in Appendix B. All prices are in dollars.

B. Invoicing and Payment

  1. Invoicing: The Bakery will invoice the Client on a Monthly basis. Each invoice will include a detailed breakdown of the services provided, including quantities and prices.

  2. Payment Terms: Payment is due within 7 days of the invoice date. Late payments will incur a late fee of 10% per month.

C. Taxes

All prices quoted are exclusive of any applicable taxes. The Client is responsible for paying any applicable sales, use, or other taxes, which will be added to the invoices where required by law.

IV. Responsibilities of Parties

A. Responsibilities of the Bakery

  1. Product Delivery: The Bakery will ensure timely delivery of all baked goods as per the agreed schedule.

  2. Quality Control: The Bakery will maintain high standards of hygiene and quality control in the preparation and packaging of all products.

  3. Customer Support: The Bakery will provide prompt customer support to address any issues or concerns raised by the Client.

B. Responsibilities of the Client

  1. Order Placement: The Client will place orders in accordance with the Bakery’s ordering procedures and timelines.

  2. Payment: The Client will ensure timely payment of all invoices as per the agreed payment terms.

  3. Feedback: The Client will provide feedback to the Bakery to help improve services and product offerings.

V. Confidentiality

A. Definition

For the purposes of this Agreement, "Confidential Information" means any non-public information disclosed by either party to the other party, either directly or indirectly, in writing, orally, or by inspection of tangible objects.

B. Obligations

Both parties agree to:

  1. Keep all Confidential Information confidential and not disclose it to any third parties except as required by law.

  2. Use the Confidential Information solely for the purposes of this Agreement.

  3. Return or destroy all Confidential Information upon termination of this Agreement.

VI. Termination

A. Termination for Convenience

Either party may terminate this Agreement for convenience upon 30 days’ written notice to the other party.

B. Termination for Cause

Either party may terminate this Agreement immediately upon written notice if the other party:

  1. Fails to perform any material obligation under this Agreement and does not cure such failure within 30 days after receiving written notice.

  2. Becomes insolvent or files for bankruptcy.

C. Effect of Termination

Upon termination of this Agreement:

  1. The Bakery will cease all services.

  2. The Client will pay for all services rendered up to the date of termination.

VII. Indemnification

A. Indemnity by the Bakery

The Bakery agrees to indemnify, defend, and hold harmless the Client from any claims, damages, losses, or expenses arising out of or in connection with the Bakery’s performance of its obligations under this Agreement.

B. Indemnity by the Client

The Client agrees to indemnify, defend, and hold harmless the Bakery from any claims, damages, losses, or expenses arising out of or in connection with the Client’s performance of its obligations under this Agreement.

VIII. Miscellaneous

A. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.

B. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

C. Amendments
