This Consulting Agreement ("Agreement") is made effective as of [Month Day, Year], by and between, [Your Company Name], a corporation with its principal place of business located at [Your Company Address] (hereinafter referred to as "Consultant"), and [Your Partner Company Name], a corporation with its principal place of business located at [Your Partner Company Address] (hereinafter referred to as "Client"). Collectively known as the "Parties."
I. Scope Of The Agreement
This Agreement sets forth the terms and conditions under which Consultant will provide HR consulting services to Client. It outlines the nature of the services to be provided, the obligations of both Parties, and the terms of compensation.
Purpose
The purpose of this Agreement is to formalize the Consultant’s role in providing strategic HR guidance and solutions to the Client. This will include assisting with HR policy development, compliance, and other human resources-related matters.
II. Services Provided
A. Consulting Services
Consultant agrees to provide the following HR consulting services:

Policy Development: Create and update HR policies and procedures tailored to the Client’s needs, ensuring they are in compliance with relevant laws and regulations.

Compliance Consulting: Assist with ensuring that the Client’s HR practices adhere to local, state, and federal regulations.

Talent Management: Provide guidance on employee recruitment, performance management, and retention strategies.

Training and Development: Develop and deliver training programs for staff and management on HR best practices and compliance.
B. Additional Services
Any additional services requested by the Client that are outside the scope of this Agreement will be subject to a separate agreement and additional fees, as agreed upon in writing.
III. Compensation

Fee Structure: The Client agrees to pay the Consultant a fee of five thousand dollars ($5,000) per hour for the services rendered. The total number of hours will be tracked and reported monthly.

Invoicing and Payment Terms: Consultant will submit invoices to Client on a monthly basis, detailing the hours worked and the services provided. Payment is due within ten (10) days from the date of the invoice. Late payments will incur a late fee of five percent (5%) per month on the outstanding balance.

Reimbursable Expenses: The Client agrees to reimburse Consultant for any reasonable and pre-approved expenses incurred while performing the services, such as travel and materials.
IV. Term and Termination

Term: This Agreement will commence on [Month Day, Year] and will continue for an initial term of five (5) months. Thereafter, the Agreement will automatically renew on a monthly basis unless terminated by either Party.

Termination for Convenience: Either Party may terminate this Agreement for any reason with twenty (20) days’ written notice to the other Party.

Termination for Cause: Either Party may terminate this Agreement immediately if the other Party breaches any material term of the Agreement and fails to cure such breach within ten (10) days after receipt of written notice.
V. Confidentiality

Confidential Information: Both Parties agree to treat all Confidential Information with the utmost confidentiality. Confidential Information includes but is not limited to, business strategies, financial information, and personal data of employees.

Obligations: Each Party agrees not to disclose Confidential Information to any third party without the prior written consent of the disclosing Party and to use the information solely for the purpose of fulfilling obligations under this Agreement.

Survival: The obligations of confidentiality will survive the termination of this Agreement for a period of three (3) years.
VI. Responsibilities
A. Consultant’s Responsibilities

Performance: Provide services in a professional manner consistent with industry standards.

Reporting: Provide regular updates and reports to the Client regarding the status of consulting services.

Availability: Maintain availability during normal business hours for consultation and support.

Compliance: Ensure all advice and recommendations are compliant with applicable laws and regulations.
B. Client’s Responsibilities

Access: Provide Consultant with access to necessary information and resources required to perform the services.

Payment: Make timely payments as specified in the Compensation section.

Cooperation: Cooperate with Consultant by providing feedback and approvals as needed.

Implementation: Implement the Consultant’s recommendations and policies in a timely manner.
VII. Indemnification

Consultant’s Indemnification: Consultant agrees to indemnify and hold harmless the Client from any claims, damages, or expenses arising from Consultant’s negligence or breach of this Agreement.

Client’s Indemnification: Client agrees to indemnify and hold harmless Consultant from any claims, damages, or expenses arising from Client’s actions or failure to comply with the recommendations provided by Consultant.
VIII. Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.

Complete Agreement: This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral.
