This Construction Agreement (the "Agreement") is made as of this 21st day of August 2050, by and between:

I. SCOPE OF WORK

The Contractor agrees to perform the following work (the "Work") at the Client's property located at 456 Oak Avenue, Springfield, IL 62701:

  1. Description of Work: The Contractor shall complete the construction of a single-family residential home, including but not limited to site preparation, foundation, framing, roofing, electrical work, plumbing, and interior finishes.

  2. Materials and Equipment: The Contractor will supply all necessary materials and equipment to complete the Work, as outlined in the project specifications attached hereto as Exhibit A.


II. CONTRACT PRICE

  1. Fixed Price: The total contract price for the completion of the Work is $250,000 USD (the "Contract Price"). This amount includes all labor, materials, equipment, and other costs associated with the Work.

  2. Payment Schedule: Payments shall be made according to the following schedule:

    • Initial Deposit: $50,000 USD upon execution of this Agreement.

    • Progress Payments: $75,000 USD upon completion of framing and roofing, and $75,000 USD upon completion of electrical and plumbing work.

    • Final Payment: $50,000 USD upon completion of the Work and final inspection.


III. PROJECT TIMELINE

  1. Commencement Date: The Contractor shall commence the Work on or before September 15, 2050.

  2. Completion Date: The Contractor shall complete the Work on or before March 15, 2051, subject to any adjustments as provided in this Agreement.

  3. Delays: Any delays caused by weather, supply chain issues, or other unforeseen circumstances shall be addressed in accordance with the provisions for changes in this Agreement.


IV. CHANGE ORDERS

  1. Request for Changes: Any changes to the Scope of Work must be requested in writing by the Client and approved by the Contractor.

  2. Additional Costs: If any change affects the Contract Price or completion date, the Contractor shall provide a written estimate of additional costs and time required.

  3. Approval: No change shall be effective until a written Change Order is executed by both parties.


V. WARRANTIES AND REPRESENTATIONS

  1. Quality of Work: The Contractor warrants that the Work will be performed in a professional and workmanlike manner, in accordance with applicable standards and codes.

  2. Materials: The Contractor warrants that all materials used in the Work will be new, unless otherwise specified, and free from defects.


VI. TERMINATION

  1. Termination for Convenience: The Client may terminate this Agreement for any reason by providing written notice to the Contractor. In such case, the Contractor shall be entitled to payment for Work performed up to the date of termination.

  2. Termination for Cause: Either party may terminate this Agreement if the other party breaches any material term and fails to remedy the breach within 15 days of receiving written notice.


VII. INSURANCE AND LIABILITY

  1. Insurance: The Contractor shall maintain insurance coverage for general liability, worker’s compensation, and any other necessary insurance for the duration of the project.

  2. Liability: The Contractor shall be responsible for any damages caused to the Client’s property due to the Contractor’s negligence.


VIII. DISPUTE RESOLUTION

  1. Negotiation: In the event of any disputes arising from this Agreement, the parties shall first attempt to resolve the matter through good-faith negotiation.

  2. Mediation: If negotiation fails, the dispute shall be submitted to mediation before resorting to litigation.


IX. MISCELLANEOUS

  1. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

  2. Amendments: Any amendments or modifications to this Agreement must be in writing and signed by both parties.

  3. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois.
