Speaker Agreement Form

I. The Parties

This Speaker Agreement ("Agreement") is entered into as of Month Day, Yearby and between [Your Company Name]with a primary place of business at [Your Company Address] ("Event Organizer"), and Speaker's Namewith a primary place of business at Speaker's Address ("Speaker"). The Company and Speaker may collectively be referred to as the ("Parties") or individually as a ("Party").

WHEREAS, the Event Organizer is hosting an event and desires to engage the services of the Speaker for participation in the event.

WHEREAS, the Speaker has the necessary expertise and agrees to present at the event as per the terms outlined herein.

WHEREAS, both Parties wish to formalize their relationship through this Agreement to ensure mutual understanding of their respective obligations and expectations.

NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree to the following terms and conditions:

The Speaker agrees to present at the event on the specified date. The presentation will be delivered in person/virtually. The Event Organizer agrees to provide all necessary technical and logistical support to facilitate the Speaker's presentation.

III. Compensation

The Event Organizer agrees to compensate the Speaker with an honorarium of Amount for their participation in the event. Payment will be made within Numberdays following the conclusion of the event. If any additional expenses, such as travel or accommodation, are incurred, these must be pre-approved by the Event Organizer and will be reimbursed upon submission of relevant receipts. No other compensation shall be due to the Speaker beyond the amount specified herein unless explicitly agreed upon by both Parties.

IV. Other Financial Matters

In addition to the honorarium, the Event Organizer will cover all reasonable expenses incurred by the Speaker, including accommodation for the duration of the event, meals during the event days, and round-trip transportation costs to and from Speaker’s Address. If travel requires airfare, the Event Organizer will book tickets unless otherwise agreed upon in writing.

Should the Speaker require additional services such as private transport, special dietary accommodations, or extended hotel stays, these must be communicated to the Event Organizer at least Number days before the event. The Event Organizer will consider these requests on a case-by-case basis and inform the Speaker of any additional approvals or limitations regarding reimbursement.

V. Rights and Responsibilities

A. Speaker

  1. Timely Arrival: The Speaker agrees to arrive at the event venue or log in virtually at least Time minutes before the scheduled presentation to ensure readiness.

  2. Content Approval: The Speaker will provide the Event Organizer with an outline or slides for review no later than Numberdays before the event.

  3. Conduct: The Speaker agrees to conduct themselves professionally and deliver a presentation that aligns with the agreed-upon topic and audience expectations.

  4. Promotion: The Speaker agrees to promote their participation at the event via social media or other platforms, as mutually agreed upon with the Event Organizer.

  5. Media Use: Any media used in the presentation, including images, videos, or slides, will not infringe on the intellectual property rights of others.

B. Event Organizer

  1. Logistics and Setup: The Event Organizer will ensure that the venue is properly set up with the necessary technical equipment, including microphones, projectors, or internet access.

  2. Event Promotion: The Event Organizer will promote the Speaker's participation in all relevant event materials, including the event website, flyers, and social media platforms.

  3. Audience Management: The Event Organizer will ensure that a suitable audience is present and facilitate any necessary audience interaction during the presentation.

  4. Post-Event Recording: If the event is recorded, the Event Organizer will provide the Speaker with a copy of the recording within Number days after the event.

  5. Feedback: The Event Organizer agrees to provide the Speaker with any audience feedback collected after the event.

VI. Cancellation

Either Party may cancel this Agreement by providing at least Number days' written notice to the other Party. If the Speaker cancels within Number days of the event, they may be required to return any compensation or reimbursements received. In the event of cancellation due to unforeseen circumstances such as illness, accidents, or travel disruptions, the Speaker shall notify the Event Organizer immediately. The Event Organizer reserves the right to reschedule the Speaker’s presentation for a future event, and the Speaker agrees to accommodate this if possible. Should the Event Organizer cancel the event entirely, the Speaker will be compensated for any non-refundable expenses incurred up until the cancellation notice.

VII. Intellectual Property and Confidentiality

The Speaker retains all intellectual property rights to their presentation materials, including but not limited to slides, handouts, and verbal content. The Event Organizer agrees not to use or distribute the Speaker’s materials without express written consent. However, the Speaker grants the Event Organizer a limited, non-exclusive license to use the presentation for internal purposes and event promotion.

Both Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed in the course of this Agreement. This includes financial details, attendee lists, and any unpublished research or data shared by the Speaker. Breach of this confidentiality clause may result in legal action and termination of the Agreement.

VIII. Independent Contractor

The Speaker is an independent contractor and not an employee of the Event Organizer. Nothing in this Agreement creates any partnership, joint venture, or agency relationship between the Parties. The Speaker is responsible for their own taxes, insurance, and other statutory obligations as required by law. The Event Organizer will not provide any employee benefits such as health insurance or retirement plans to the Speaker.

IX. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of State Name, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in City, State, and both Parties consent to the jurisdiction of these courts. The Parties agree to attempt mediation before pursuing any legal action.
