Agreement Between Two Companies
Parties
This agreement ("Agreement") is made and entered into by and between [YOUR COMPANY NAME], a company incorporated under the laws of Virginia, with its principal place of business at Grundy, VA 24614("Party A"), and Light Techno, a company incorporated under the laws of Virginia, with its principal place of business at Quantico, VA 22134 ("Party B").
Terms and Conditions
The terms and conditions set forth in this Agreement shall govern the relationship between Party A and Party B. Both parties agree to the following:
The term of this Agreement shall commence on January 1, 2055, and shall continue until January 1, 2060, unless terminated earlier as provided herein.
Specific Obligations
Both parties agree to the following specific obligations:
Party A shall provide cloud-based IT infrastructure services, including data storage, network security, and server maintenance to Party B in a timely and efficient manner.
Party B agrees to pay Party A $500,000 per year, payable in quarterly installments, for the services provided, according to the payment schedule attached to this Agreement as Exhibit A.
Confidentiality
Each party agrees that it shall keep confidential all information disclosed by the other party that is designated as confidential at the time of disclosure, or that should reasonably be understood to be confidential given the context of the disclosure and the nature of the information.
Confidential information shall not include information that is or becomes publicly known through no breach of this Agreement, is received from a third party without breach of any obligation of confidentiality, or is independently developed by the receiving party.
