Agreement Overview
This Non-Compete Agreement (hereinafter referred to as the "Agreement") is made and entered into as of the [1st] day of [January], [2050], by and between [Your Company Name], a law firm organized and existing under the laws of [Your State], with its principal office located at [Your Company Address] (hereinafter referred to as the "Firm"), and [Employee Name], an individual residing at [Employee Address] (hereinafter referred to as the "Employee").
1. Recitals
1.1. Purpose
The Firm desires to protect its legitimate business interests, including confidential information, goodwill, and specialized training it provides to its employees. The Employee acknowledges that employment with the Firm provides access to such information and training.
1.2. Consideration
The Firm agrees to provide continued employment and access to confidential information to the Employee, and in consideration thereof, the Employee agrees to abide by the terms of this Agreement.
2. Non-Compete Covenant
The Employee agrees that during the term of employment with the Firm and for a period of [2] years following the termination of employment, regardless of the reason for termination, the Employee shall not, directly or indirectly:
2.1. Competitive Employment
Engage in or accept employment, either as an employee, consultant, independent contractor, or in any other capacity, with any law firm, legal entity, or business that competes with the Firm within a [50]-mile radius of [Your Company Address].
2.2. Solicitation of Clients
Solicit, contact, or attempt to contact any client or potential client of the Firm with whom the Employee had contact or about whom the Employee had access to confidential information during the last [2] years of employment with the Firm.
2.3. Solicitation of Employees
Encourage or solicit any employee of the Firm to leave the Firm's employ or engage in activities competitive with the Firm's business.
3. Confidential Information
3.1. Definition
For purposes of this Agreement, "Confidential Information" includes but is not limited to client lists, business strategies, legal methods, fee structures, and any other information pertaining to the operations or services provided by the Firm that is not readily available to the public.
3.2. Obligations of Employee
The Employee agrees to maintain the confidentiality of all Confidential Information both during and after the term of employment, and to not use or disclose such information except as authorized by the Firm in writing.
4. Compensation for Compliance
In consideration for the Employee’s adherence to the terms of this Agreement during the post-employment period, the Firm agrees to provide the Employee with a monthly stipend of [$5,000] for the duration of the [2]-year non-compete period. This amount shall be paid on or before the [15th] day of each month.
5. Remedies
The Employee acknowledges that any breach of the terms of this Agreement would cause irreparable harm to the Firm and, therefore, agrees that the Firm shall be entitled to injunctive relief, as well as any other remedy available under law or equity, in the event of such a breach.
6. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed written, construed, and enforced as so limited.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement contains the entire understanding of the parties with respect to the subject matter herein and supersedes all prior negotiations, agreements, and understandings, whether oral or written.
