Recitals

WHEREAS, Lessor is the owner of the property located at [Property Address] (the “Premises”);

WHEREAS, Lessee desires to lease the Premises for the purpose of operating an art gallery and to exhibit and sell art;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

1. Lease Term

2. Rent

5. Maintenance and Repairs

5.1 Lessor's Responsibilities

Lessor shall maintain the structural integrity of the Premises, including the roof, walls, and foundations, and shall be responsible for all repairs necessary to maintain the Premises in a safe and habitable condition.

5.2 Lessee's Responsibilities

Lessee shall keep the interior of the Premises in good order and condition. Lessee shall be responsible for all repairs and maintenance required to keep the Premises in a clean and sanitary condition.

6. Alterations

Lessee shall not make any alterations, improvements, or additions to the Premises without the prior written consent of Lessor. Any alterations made shall become the property of the Lessor upon termination of this Lease.

7. Insurance

Lessee shall obtain and maintain at its own expense a comprehensive general liability insurance policy covering the Premises, with a minimum coverage of $[0]. Lessee shall provide Lessor with a certificate of insurance evidencing such coverage prior to occupying the Premises.

8. Indemnification

Lessee agrees to indemnify, defend, and hold harmless Lessor and its agents from any and all claims, liabilities, damages, and expenses (including attorney's fees) arising from Lessee’s use of the Premises or any breach of this Agreement.

9. Default

9.1 Events of Default

The occurrence of any of the following shall constitute an "Event of Default" under this Agreement:

9.2 Remedies
