PERMISSION TO USE LAND AGREEMENT


I. PARTIES AND PURPOSE

This Permission to Use Land Agreement (“Agreement”) is entered into as of the 1st day of January, 2050, by and between:

Grantor:
MindStove, a company duly organized and existing under the laws of Florida, with its principal place of business located at Jacksonville, FL 32099, represented by Malcolm Raynor, whose email address is malcolm@you.mail.

Grantee:
[Your Company Name], a company duly organized and existing under the laws of Florida, with its principal place of business located at [Your Company Address], and represented by [Your Name], whose email address is [Your Email].

This Agreement grants the Grantee permission to use a specific parcel of land owned by the Grantor under the terms and conditions outlined herein.


II. DESCRIPTION OF LAND

The land subject to this Agreement is described as follows:

  • Property Location: 123 Industrial Lane, Jacksonville, FL 32099

  • Property Size: 50 acres

  • Land Use: The land may be used for research and development of renewable energy technologies, including but not limited to the installation of solar panels, wind turbines, and other associated infrastructure.

The Grantor provides this permission for the specified use by the Grantee, who agrees to comply with all terms, conditions, and restrictions outlined in this Agreement.


III. TERM OF AGREEMENT

1. Term of Use

The term of this Agreement shall begin on the 1st day of January 2050 and will continue for a period of three (3) years, ending on the 31st day of December 2053.

2. Extension of Agreement

The Grantee may request an extension of this Agreement by providing written notice to the Grantor at least six (6) months before the expiration of the current term. The Grantor may, at its discretion, approve or deny the extension request.

3. Early Termination

Either party may terminate this Agreement prior to the expiration date by providing written notice to the other party at least three (3) months in advance. In the event of early termination, the Grantee shall cease using the land and remove any materials or improvements installed by the Grantee.


IV. USE OF THE LAND

1. Permitted Use

The Grantee is granted permission to use the land solely for research and development of renewable energy technologies, including the installation of solar panels, wind turbines, and the construction of support infrastructure necessary for these activities. Any other use of the land is prohibited unless the Grantor provides prior written consent.

2. Restrictions on Use

The Grantee shall not use the land for any illegal activities or in a manner that could cause harm to the environment or violate any applicable local, state, or federal laws. The Grantee shall not sublease or assign their rights under this Agreement to any third party without prior written consent from the Grantor.

3. Compliance with Laws

The Grantee agrees to comply with all relevant laws, ordinances, and regulations in connection with the use of the land, including any zoning laws, environmental regulations, and any other legal requirements imposed by local, state, or federal authorities.


V. MAINTENANCE AND IMPROVEMENTS

1. Grantee’s Responsibilities

The Grantee agrees to maintain the land in good condition and repair, ensuring that all activities carried out on the land do not result in damage or degradation of the property. The Grantee shall be responsible for any costs associated with the maintenance of the land during the term of this Agreement.

2. Grantor’s Responsibilities

The Grantor will maintain ownership of the land and any existing structures, boundaries, or infrastructure on the property. The Grantor is not responsible for any improvements or modifications made to the property by the Grantee.

3. Improvements and Alterations

The Grantee shall not make any permanent improvements or alterations to the land without the prior written consent of the Grantor. If any improvements or alterations are made, they will become the property of the Grantor unless otherwise agreed.


VI. PAYMENT TERMS

1. Payment Amount

The Grantee agrees to pay the Grantor a fee of $15,000 per year for the use of the land. Payments shall be made annually on or before the 1st of January each year.

2. Late Payments

If any payment is not made within 30 days of the due date, the Grantee will incur a late fee of $500 for each month or part thereof that the payment remains overdue.

3. Method of Payment

Payments shall be made by bank transfer or check to the following account details:

Alternatively, payments may be mailed to the Grantor’s address at [Your Company Address].


VII. INSURANCE AND LIABILITY

1. Insurance Coverage

The Grantee agrees to obtain and maintain general liability insurance covering their activities on the land, with a minimum coverage amount of $1,000,000. Proof of such insurance shall be provided to the Grantor upon request.

2. Indemnification

The Grantee agrees to indemnify and hold harmless the Grantor from any and all claims, damages, or liabilities arising from the Grantee’s use of the land, including any personal injuries or property damage that may occur.

3. Liability for Damage

The Grantee shall be responsible for any damage caused to the land during the term of this Agreement, including any damages resulting from the Grantee’s activities or negligence.


VIII. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of laws principles.


IX. DISPUTE RESOLUTION

Any dispute arising from or related to this Agreement shall be resolved through mediation. If the dispute is not resolved through mediation, the parties agree to resolve the dispute through binding arbitration in Jacksonville, Florida.
