RURAL LAND SALE AGREEMENT


I. AGREEMENT OVERVIEW

This Rural Land Sale Agreement (the "Agreement") is entered into on the 4th day of December 2050, by and between [Your Name], of [Your Company Name], with a principal business address at [Your Company Address] (hereinafter referred to as "Seller"), and Jarvis White, of BluWave, with a principal business address at Salt Lake City, UT 84101 (hereinafter referred to as "Buyer").

The Seller agrees to sell, and the Buyer agrees to purchase, the rural land described in this Agreement, subject to the terms and conditions set forth herein.


II. PROPERTY DESCRIPTION

Identification of Property

The property subject to this Agreement is described as follows:

  • Address: 453 Meadowbrook Lane, Salt Lake City, UT 84101

  • Parcel Number: 876-543-210

  • Acreage: Approximately 150 acres

  • Legal Description: The parcel is situated in Section 9, Township 12 North, Range 8 West, Salt Lake County, Utah. The property is bounded by Forest Road to the north and Creekside Trail to the south, with no encumbrances on title except as noted in the Seller's disclosure.

The property described above is hereinafter referred to as the "Property."


III. PURCHASE PRICE AND PAYMENT TERMS

Purchase Price

The total purchase price for the Property shall be $1,250,000 (the "Purchase Price").

Payment Terms

  1. Deposit: Upon execution of this Agreement, the Buyer shall pay a non-refundable deposit of $100,000, which will be credited toward the Purchase Price at closing.

  2. Balance: The remaining balance of $1,150,000 shall be paid in full at closing by certified funds or wire transfer.


IV. CLOSING TERMS

Closing Date

The closing of this transaction shall occur on or before June 4, 2050, unless extended by mutual written consent of both parties.

Closing Costs

The parties agree to allocate closing costs as follows:

  • The Seller shall be responsible for property taxes prorated to the date of closing and any costs related to clearing title.

  • The Buyer shall be responsible for title insurance, recording fees, and all other associated closing costs.

Title and Deed

At closing, the Seller shall deliver to the Buyer a warranty deed conveying clear, marketable title to the Property, free from all liens and encumbrances, except for those listed in the Seller's disclosure.


V. REPRESENTATIONS AND WARRANTIES

Seller Representations

The Seller represents and warrants that:

  1. The Seller has full authority to sell the Property.

  2. The Property is free of hazardous substances or contamination.

  3. There are no undisclosed encumbrances or third-party claims on the Property.

Buyer Representations

The Buyer represents and warrants that:

  1. The Buyer has conducted or waived the right to inspections of the Property.

  2. The Buyer has the financial capacity to complete the purchase.


VI. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.


VII. DISPUTE RESOLUTION

The parties agree to resolve any disputes arising out of this Agreement through mediation. If mediation is unsuccessful, the dispute may be resolved through litigation in the appropriate courts located in Salt Lake City, Utah.


VIII. NOTICES

All notices required or permitted under this Agreement shall be sent to the following:
