Power Supply Agreement
I. Introduction
This Power Supply Agreement ("Agreement") is made and entered into by and between [Your Company Name], hereinafter referred to as "Supplier," and QuickSync, hereinafter referred to as "Customer," collectively referred to as "the Parties." The Agreement is effective as of [Effective Date].
II. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which Supplier shall provide, and Customer shall receive, electric power supply services at the agreed locations and quantities.
A. Scope of Supply
Supplier agrees to provide electrical power to Customer at the locations designated in Appendix A ("Service Locations") and in accordance with the specifications detailed in Appendix B ("Specifications").
B. Duration
This Agreement shall commence on the Effective Date and remain in effect for a period of [Number of Years] years, unless terminated earlier in accordance with the terms of this Agreement.
C. Amendments
Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both Parties.
III. Obligations of the Supplier
The Supplier shall:

Provide Customer with monthly invoices reflecting the actual power usage and applicable rates.
Implement reasonable measures to prevent interruptions in power supply and notify Customer in case of planned outages.
IV. Obligations of the Customer
Customer agrees to:
Pay all invoices in accordance with the payment terms outlined in Section V.
Maintain all facilities and equipment for effective power use.
Notify Supplier promptly of any issues relating to the supply or quality of power.
V. Payment Terms
Customer shall pay Supplier for the electric power supply services in accordance with this section:
A. Rates
Rates for power supply are specified in Appendix C ("Rate Schedule").
B. Billing and Payment
Supplier shall issue monthly invoices to Customer. Payment is due within [Number of Days] days from the invoice date. Late payments are subject to a [Late Fee]% late fee.
VI. Termination
This Agreement may be terminated by either party upon the occurrence of the following events:
