II. Membership Term and Renewal

Late Payments

V. Termination of Membership
Termination by the Company
The Company reserves the right to terminate this Agreement and revoke the Member's membership for any violation of the terms of this Agreement or misconduct deemed detrimental to the Company or other members.
Termination by the Member
The Member may terminate this Agreement at any time by providing 30 days' written notice to the Company. Membership fees are non-refundable, except as otherwise agreed in writing by the Company.
VI. Confidentiality
Protection of Confidential Information
Both parties agree to keep all proprietary and confidential information disclosed during the membership relationship strictly confidential.
Exceptions
This obligation shall not apply to information that is:

VII. Limitation of Liability
The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Member's participation in the membership program. The Company’s total liability for direct damages shall not exceed the amount of the annual membership fee paid by the Member.
VIII. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
IX. Miscellaneous
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements or understandings, whether written or oral.
Amendments
This Agreement may only be amended in writing, signed by both parties.
Severability
If any provision of this Agreement is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
