Import-Export Agreement

This Import-Export Agreement ("Agreement") is made and entered into on this January 15, 2062, by and between [YOUR COMPANY NAME], a company incorporated under the laws of United States, with its principal place of business at [YOUR COMPANY ADDRESS] (hereinafter referred to as the "Exporter"), and MultiCorp, a company incorporated under the laws of Michigan, with its principal place of business at Detroit, MI 48201 (hereinafter referred to as the "Importer").

The parties agree as follows:

I. DEFINITIONS

  1. "Goods" refers to the products specified in Annex A of this Agreement.

  2. "Delivery Date" refers to the agreed-upon date by which the Exporter must deliver the Goods to the Importer.

  3. "Incoterms" refers to the International Commercial Terms published by the International Chamber of Commerce (ICC), which will govern the shipping terms under this Agreement.

II. OBJECTIVE

The purpose of this Agreement is to establish the terms and conditions under which the Exporter agrees to sell and export, and the Importer agrees to purchase and import, the Goods specified herein.

III. GOODS

  1. Description of Goods: The Goods to be exported and imported under this Agreement are described in Annex A.

  2. Quality Standards: The Goods shall comply with the quality standards outlined in Annex B, and any applicable legal or regulatory requirements in both the Exporter’s and Importer’s countries.

IV. PRICE AND PAYMENT TERMS

  1. Price: The price of the Goods is as specified in Annex C.

  2. Payment Terms:

    • Payment Method: Wire Transfer

    • Currency: All payments shall be made in USD.

    • Payment Schedule: The Importer shall pay 30% of the total price as an advance, with the balance payable upon delivery.

V. DELIVERY TERMS

  1. Delivery Location: The Goods shall be delivered to Port of Detroit, Michigan.

  2. Delivery Date: The Exporter shall deliver the Goods on or before February 28, 2062.

  3. Shipping Terms: The applicable Incoterms for this transaction are CIF (Cost, Insurance, and Freight).

  4. Transfer of Risk: Risk of loss or damage to the Goods shall transfer in accordance with the agreed Incoterms.

VI. INSPECTION AND ACCEPTANCE

  1. Inspection: The Importer shall inspect the Goods within 7 days of receipt.

  2. Rejection of Goods: If the Goods do not meet the specifications, the Importer must notify the Exporter in writing within 10 days.

VII. WARRANTIES

  1. Exporter’s Warranties:

    • The Goods are free from defects in material and workmanship.

    • The Goods conform to the specifications in Annex B.

  2. Importer’s Warranties:

    • The Importer will comply with all applicable import laws and regulations.

VIII. FORCE MAJEURE

Neither party shall be liable for failure or delay in performing any obligation under this Agreement due to events beyond their reasonable control, including but not limited to acts of God, war, strikes, or government actions.

IX. TERMINATION

  1. Termination by Mutual Consent: The Agreement may be terminated by mutual written agreement of the parties.

  2. Termination for Breach: Either party may terminate the Agreement if the other party breaches any material term and fails to cure such breach within 30 days of written notice.

X. CONFIDENTIALITY

The parties agree to maintain the confidentiality of all non-public information exchanged under this Agreement.

XI. GOVERNING LAW AND DISPUTE RESOLUTION

  1. Governing Law: This Agreement shall be governed by the laws of Detroit, Michigan.

  2. Dispute Resolution: Any disputes arising under this Agreement shall be resolved through arbitration under the ICC Rules.

XII. MISCELLANEOUS

  1. Entire Agreement: This document constitutes the entire agreement between the parties.

  2. Amendments: Any amendments must be made in writing and signed by both parties.

  3. Notices: Any notices under this Agreement shall be sent to the addresses listed above.
