I. Introduction
This Recruitment Agreement for Executive Positions ("Agreement") is entered into on July 15, 2050, by and between:

III. Compensation and Payment
A. Fee Structure
The Company agrees to pay the Recruiter a placement fee equal to 25% of the annual base salary of the hired executive.
B. Payment Terms

Retainer Fee: An initial retainer fee of $15,000 is payable upon signing this Agreement.

Final Payment: The remaining balance is due within 30 days of the executive’s start date.
C. Replacement Guarantee
If the hired executive voluntarily resigns or is terminated within 120 days, the Recruiter will provide a replacement search at no additional charge.
IV. Obligations of the Company
A. Collaboration
The Company agrees to:

Offer timely feedback on candidates presented by the Recruiter.
B. Transparency
The Company shall disclose any internal or external factors that may influence the hiring process or candidate suitability.
V. Confidentiality
A. Candidate and Company Information
Both Parties agree to maintain the confidentiality of sensitive information, including:

The Company’s strategic and operational data is shared during the recruitment process.
B. Non-Disclosure Obligations
Neither Party shall disclose confidential information to third parties without prior written consent, except as required by law.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of California. Any disputes shall be resolved in the courts located in Long Beach, California.
VII. Term and Termination
A. Term
This Agreement commences on July 15, 2050, and remains in effect until the successful placement of an executive or unless terminated earlier as provided below.
B. Termination

By Either Party: Either Party may terminate this Agreement with 30 days’ written notice.

For Cause: Immediate termination is permitted in the event of a material breach by the other Party.
VIII. Dispute Resolution
A. Mediation and Arbitration
The Parties agree to attempt to resolve disputes through mediation. If unresolved, the matter will proceed to binding arbitration under the rules of the American Arbitration Association, with the venue in Long Beach, California.
