PROFESSIONAL LAND SALE AGREEMENT
I. INTRODUCTION
This Professional Land Sale Agreement (the "Agreement") is made and entered into as of January 2, 2050, by and between:

II. DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set forth below:

The Property is sold as-is and with all faults, without any representations or warranties by the Seller, except as otherwise expressly stated in this Agreement.
IV. SALE PRICE AND PAYMENT TERMS

Sale Price: The total sale price for the Property is $500,000, to be paid by Buyer to Seller as follows:

A deposit of $50,000 shall be paid upon execution of this Agreement.

The remaining balance of $450,000 shall be paid at closing.

V. CLOSING PROCEDURE

Closing Date: The closing of the sale (the "Closing") shall take place no later than March 2, 2050, at a time and location mutually agreed upon by both parties.

Closing Costs: The parties agree to share the closing costs as follows:

Seller shall be responsible for: title insurance, deed preparation, and recording fees.

Buyer shall be responsible for: closing agent fees, survey costs, and transfer taxes.

Documents Required: At the Closing, the Seller shall deliver the following documents to the Buyer:

A deed transferring title of the Property to the Buyer.

A copy of the title search report showing clear title.

Any other documents required by the buyer’s lender, if applicable.

VI. WARRANTIES AND REPRESENTATIONS

Seller's Representations:

The Seller represents and warrants that it holds clear title to the Property and has the legal authority to sell the Property.

The Property is free from any liens, encumbrances, or claims, except as disclosed to the Buyer.

VII. GOVERNING LAW
