This Non-Disclosure Agreement ("Agreement") is made and entered into as of the 1st day of January, 2050, by and between [Your Company Name], a company organized and existing under the laws of Arizona, with its principal office located at [Your Company Address] ("Disclosing Party"), and Jewell Ward, a former employee of the Disclosing Party, residing at Phoenix, AZ 85001 ("Receiving Party").

The purpose of this Agreement is to protect the confidential information that may have been shared or accessed during the course of employment and ensure that such information is not used or disclosed after the termination of employment.


I. Definition of Confidential Information

The term "Confidential Information" as used in this Agreement shall refer to all information disclosed by [Your Company Name] to Jewell Ward, including but not limited to:

  • Trade secrets, proprietary data, financial information, business strategies, marketing plans, and client lists

  • Source code, software, product designs, and engineering documents

  • Any information, whether written, oral, or electronic, which is designated as confidential by the Disclosing Party

  • Already publicly known or becomes public knowledge through no fault of the Receiving Party

  • Independently developed by the Receiving Party without reference to the Disclosing Party’s information

II. Obligations of the Receiving Party

1. Non-Disclosure

Jewell Ward agrees not to disclose, publish, or otherwise share any Confidential Information with any third parties, both during and after the termination of employment with [Your Company Name]. This obligation of confidentiality will remain in effect for a period of five (5) years following the termination date of employment.

2. Use of Confidential Information

Jewell Ward agrees to use the Confidential Information solely for the purpose of fulfilling their job duties during the course of employment and will not use or exploit the Confidential Information for any personal gain or for the benefit of any third party.

3. Return of Materials

Upon termination of employment, Jewell Ward agrees to promptly return or destroy all documents, electronic files, and materials containing any Confidential Information. This includes any notes, reports, or other materials that were generated or received during the employment period.


III. Non-Solicitation and Non-Compete

1. Non-Solicitation of Employees

Jewell Ward agrees that for a period of two (2) years following the termination of employment, they will not solicit or attempt to recruit any current employees of [Your Company Name] to leave the company for any reason.

2. Non-Compete Agreement

Jewell Ward agrees not to engage in any business that directly competes with [Your Company Name] within a 50-mile radius of [Your Company Address] for a period of two (2) years following the termination of employment.


IV. No License

This Agreement does not grant Jewell Ward any rights, title, or interest in or to any Confidential Information or any intellectual property of [Your Company Name]. All rights in the Confidential Information remain the sole property of [Your Company Name].


V. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.


VI. Remedies

VII. Miscellaneous

1. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements or understandings, oral or written, relating to the subject matter hereof.

2. Modification

This Agreement may be amended only in writing and signed by both parties.

3. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will continue in full force and effect.
