RE: CONTRACT RESIGNATION

I hope this letter finds you in good health. This letter serves as a formal notice of resignation from the contract between Stellar Tech Solutions, represented by Robert Johnson, and Jessica Taylor, regarding the provision of technical services. This contract was originally signed on September 1, 2022, and is set to expire on March 1, 2023.

SCOPE OF WORK:

Under this contract, Stellar Tech Solutions agrees to provide technical consulting and support to Jessica Taylor for the development of an e-commerce website. This includes but is not limited to website design, coding, database management, and server configuration.

PAYMENT TERMS:

Jessica Taylor agrees to pay Stellar Tech Solutions a total fee of $10,000 for the completion of the project. The payment shall be made in two installments 50% ($5,000) upon signing this contract, and the remaining 50% ($5,000) upon successful completion and delivery of the website.

DEADLINES:

The project timeline shall be as follows:
1. Commencement of work: September 15, 2022
2. Completion of website development: December 15, 2022
3. Final review and testing: January 15, 2023
4. Delivery of the completed website: February 1, 2023

CONFIDENTIALITY CLAUSE:

Both parties acknowledge and agree to maintain strict confidentiality regarding any proprietary or sensitive information exchanged during the course of this project. Any unauthorized disclosure or use of such information shall be considered a breach of contract and subject to legal consequences.

LEGAL PROVISIONS:

This contract shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of or in connection with this contract shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

PENALTIES FOR BREACH:

In the event of a breach of this contract by either party, the non-breaching party shall be entitled to seek legal remedies, including but not limited to monetary damages and specific performance. Should any breaches occur, the party at fault shall be liable for reimbursing the non-breaching party for any expenses incurred as a result.

REVIEW AND SIGNATURE:

Please carefully review the terms and conditions outlined in this contract. If you are in agreement, kindly sign and return a copy of this letter by November 1, 2022. This contract shall be considered legally binding once signed by both parties.
