Non-Disclosure Agreement

1. Parties

2. Purpose

3. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" means all financial and marketing material and information that has been or will be disclosed by the Disclosing Party to the Receiving Party. Confidential Information includes, but is not limited to:

Preliminary works
Financial reports
Marketing strategies
Profit and loss figures
Business plans

4. Obligations and Restrictions

The Receiving Party agrees that she will:

Not disclose any Confidential Information to anyone without the prior written consent of the Disclosing Party.

Use the Confidential Information only for the Purpose and no other purpose without the prior written consent of the Disclosing Party.

5. Exceptions

Confidential Information does not include information that is:

Publicly available
Already in the possession of the Receiving Party
Received from another source who did not breach an NDA by such disclosure.

6. Duration

This Agreement covers all Confidential Information disclosed during the period from the Effective Date until 12 months from the Effective Date.

7. Termination

The Disclosing Party may terminate this Agreement at any time, after giving reasonable notice to the Receiving Party.

8. Governing Law and Jurisdiction

This Agreement shall be governed and construed in accordance with the laws of the United States and any disputes arising out of this Agreement shall fall within the jurisdiction of the courts of Texas.

IN WITNESS WHEREOF, the Disclosing Party and the Receiving Party cause this Agreement to be executed by their duly authorized representatives as of the Effective Date.
